Governing Law & Jurisdiction
1. Applicable Law
All disputes, claims, or causes of action arising out of or relating to your use of the #divisions platform, services, or these terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. This includes all issues relating to formation, interpretation, performance, breach, and enforcement.
2. Exclusive Jurisdiction & Venue
You agree that any legal proceedings, whether in court or arbitration, shall be brought exclusively in the federal or state courts located in New Castle County, Delaware. You and #divisions hereby consent to the personal jurisdiction and venue of such courts. You waive any objection to trying such proceedings in a court located in said jurisdiction.
3. Dispute Resolution
3.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to first attempt to resolve the dispute informally. Please contact our legal team at legal@divisions.io with a written description of your claim. We will make commercially reasonable efforts to resolve the dispute within 60 days of receipt of your notice.
3.2 Binding Arbitration
If informal resolution fails, any unresolved dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in New Castle County, Delaware, and shall be governed by the Federal Arbitration Act.
4. Class Action & Class-Wide Arbitration Waiver
You agree that any disputes or claims shall be brought only on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding. If, for any reason, a claim proceeds in court rather than arbitration, you waive any right to a jury trial. You further waive any right to participate in a class-wide arbitration or to consolidate individual claims into a collective proceeding.
5. Severability
If any provision of this Governing Law section or the arbitration agreement is found to be unenforceable or invalid by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
6. Amendments & Modifications
#divisions reserves the right to modify, amend, or update this Governing Law provision at any time. Material changes will be communicated via email or through a prominent notice on our platform. Your continued use of our services following the effective date of any changes constitutes your acceptance of the updated terms.
