Term & Termination

10.1 Term of Agreement

This Agreement shall commence on the date you create an Admin account or accept these Terms (the "Effective Date") and shall continue in full force until terminated in accordance with this Section 10. Unless otherwise specified in your selected Subscription Plan, the Term shall be measured in monthly or annual billing cycles, automatically renewing at the end of each period until either party exercises its right to terminate as outlined below.

For Enterprise and Custom agreements, the Term shall be as expressly defined in the separately executed Master Services Agreement ("MSA") or Statement of Work ("SOW").

10.2 Termination for Convenience

Either party may terminate this Agreement for any reason or no reason upon providing thirty (30) days prior written notice to the other party. For monthly subscription plans, termination will take effect at the end of the current billing cycle. For annual or multi-year commitments, early termination for convenience by the Customer may be subject to an early termination fee equal to fifty percent (50%) of the remaining undiscounted subscription fees, unless otherwise agreed in writing.

Admin may suspend access to the Platform immediately upon notice if payment has not been received within fifteen (15) days of the invoice due date.

10.3 Termination for Cause

Admin reserves the right to terminate or suspend this Agreement and your access to the Platform immediately, without prior notice, upon your material breach of these Terms, including but not limited to:

  • Violation of applicable laws, regulations, or Admin's Acceptable Use Policy;
  • Unauthorized access, scraping, or reverse engineering of the Platform;
  • Submission of fraudulent information or misuse of billing mechanisms;
  • Conduct that poses a security risk to Admin, other users, or the integrity of the Platform.

Upon notice of material breach, the Customer shall have a fifteen (15) day cure period to remedy the violation, except where immediate termination is legally required or where the breach is irreparable. Failure to cure within the allotted period shall result in immediate termination.

10.4 Effect of Termination

Upon termination of this Agreement for any reason:

  1. All licenses granted to you under this Agreement shall immediately cease;
  2. Your right to access and use the Platform shall be revoked;
  3. You shall immediately cease all use of Admin's trademarks, service marks, and logos;
  4. Any outstanding fees owed to Admin shall become immediately due and payable.
Important: Termination does not relieve either party of obligations accrued prior to the effective date of termination. Refunds for prepaid periods will be handled in accordance with Admin's Refund Policy.

10.5 Data Retention & Export

Admin is committed to providing transparency and control over your data. Upon termination, you may export your data in standard formats (CSV, JSON, or via API) up to thirty (30) days prior to account deletion. After the expiration of this window, Admin reserves the right to permanently delete or anonymize your account data in accordance with our Data Retention Policy and applicable legal obligations.

Admin shall retain certain transactional and audit logs for up to twenty-four (24) months following termination to comply with tax, accounting, and regulatory requirements. Such retained data will be processed solely for compliance purposes and will not be used for marketing or analytics.

10.6 Survival of Clauses

The following provisions shall survive the termination or expiration of this Agreement, whether automatic, for convenience, or for cause:

  • Section 3 (Intellectual Property Rights)
  • Section 6 (Limitation of Liability & Disclaimers)
  • Section 7 (Indemnification)
  • Section 8 (Confidentiality & Data Protection)
  • Section 10.4 (Effect of Termination) & 10.5 (Data Retention)
  • Section 12 (Governing Law & Dispute Resolution)
  • Section 13 (General Provisions & Severability)

All surviving obligations shall remain in full force for their originally intended duration or as otherwise required by applicable law.
