1. Governing Law
This Governing Law clause, together with the Aevum Encyclopedia Terms of Service, Privacy Policy, and all supplemental agreements, shall be construed, interpreted, and enforced in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles that would result in the application of the laws of any other jurisdiction.
By accessing, using, contributing to, or distributing content through Aevum Encyclopedia (the "Platform"), you acknowledge and agree that Delaware law shall govern all rights, obligations, claims, and disputes arising out of or relating to your interaction with our services, including AI-enhanced content delivery, multilingual translation features, and knowledge graph infrastructure.
2. Exclusive Jurisdiction & Venue
Any action, proceeding, or claim arising out of or relating to this agreement, the Platform, or your use thereof shall be brought exclusively in the federal or state courts located in New Castle County, Delaware. Both you and Aevum Encyclopedia hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on forum non conveniens or inconvenient forum.
3. Dispute Resolution & Arbitration
Except for disputes involving intellectual property infringement, privacy violations, or claims that cannot be resolved through arbitration under applicable law, any dispute, controversy, or claim arising out of or relating to this agreement shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
- Arbitration shall take place in Wilmington, Delaware.
- Proceedings shall be conducted in English.
- The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.
- Each party shall bear its own costs and attorney fees, unless the arbitrator determines fee-shifting is warranted under the AAA rules or applicable law.
4. Waiver of Class Actions & Jury Trials
You agree that any arbitration or legal proceeding brought by you shall be conducted solely on an individual basis. You expressly waive any right to participate in a class action, consolidated action, or representative proceeding. You also waive any right to a trial by jury for any claim arising out of or relating to your use of the Platform.
This waiver is knowing and voluntary. If any court or arbitrator determines this waiver is unenforceable, the remainder of this section shall survive and apply.
5. Severability & Enforcement
If any provision of this Governing Law clause or its application to any person or circumstance is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The parties agree that any court finding a provision unenforceable should, to the maximum extent permitted by law, modify and interpret the provision to give effect to the parties' original intent as closely as possible.
