9.1 Governing Law & Jurisdiction
These Terms of Service, Privacy Policy, and all agreements related to the use of the Aevum Encyclopedia platform shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the federal or state courts located in Wilmington, Delaware. Both parties hereby consent to the personal jurisdiction and venue therein.
9.2 International Users & Compliance
While Aevum Encyclopedia is accessible globally, users residing outside the United States acknowledge that they are responsible for compliance with all local, state, and international laws applicable to their use of the platform. To the extent that any provision of these terms conflicts with mandatory local legislation, such local laws shall prevail only to the minimum extent required by law.
International users agree that any legal proceedings related to the platform shall not be brought on a class-action basis. If you reside in the European Economic Area, Switzerland, or the United Kingdom, you are entitled to rely on the mandatory provisions of your country of residence.
9.3 Dispute Resolution
Before initiating any formal legal proceedings, we strongly encourage both parties to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration shall take place in Wilmington, Delaware, unless both parties agree otherwise.
The prevailing party in any arbitration or litigation shall be entitled to recover reasonable attorneys' fees and costs.
