Confidentiality Agreement

This Confidentiality Agreement ("Agreement") is entered into by and between Aevum Encyclopedia ("Disclosing Party"), a global knowledge platform headquartered in Delaware, United States, and the individual or entity receiving confidential information ("Receiving Party"). This Agreement governs the protection of proprietary, non-public information shared in connection with editorial contributions, API integrations, partnership discussions, research collaborations, or platform access.

1. Definition of Confidential Information

"Confidential Information" shall mean all non-public, proprietary, or sensitive information disclosed by Aevum Encyclopedia, whether orally, in writing, electronically, or visually, including but not limited to:

• Proprietary AI algorithms, natural language processing models, and semantic indexing methodologies;
• Editorial guidelines, verification protocols, fact-checking workflows, and contribution standards;
• Unreleased articles, datasets, knowledge graphs, and structured metadata schemas;
• Business strategies, financial projections, partnership terms, and operational metrics;
• User analytics, contributor databases, and authentication architectures;
• Software source code, API endpoints, system architectures, and security configurations;
• Any information marked as "Confidential," "Proprietary," or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure.

2. Obligations of the Receiving Party

The Receiving Party agrees to:

1. Maintain the confidentiality of all Confidential Information with at least the same degree of care used to protect its own sensitive information, but no less than reasonable care;
2. Use Confidential Information solely for the authorized purpose of collaboration, contribution, integration, or partnership with Aevum Encyclopedia (the "Purpose");
3. Restrict access to Confidential Information to employees, contractors, or legal advisors who have a legitimate need to know and are bound by confidentiality obligations at least as restrictive as this Agreement;
4. Implement appropriate technical and organizational security measures to prevent unauthorized access, disclosure, or misuse;
5. Notify Aevum Encyclopedia immediately upon discovery of any unauthorized use or disclosure.

3. Exclusions

Confidential Information shall not include information that:

• Is or becomes publicly known through no breach of this Agreement by the Receiving Party;
• Was rightfully in the Receiving Party's possession prior to disclosure without restriction;
• Is independently developed by the Receiving Party without reference to or use of Confidential Information;
• Is rightfully obtained from a third party without breach of any confidentiality obligation;
• Is required to be disclosed by law, court order, or regulatory authority, provided the Receiving Party gives prompt written notice to allow Aevum Encyclopedia to seek protective measures.

4. Term & Termination

This Agreement shall become effective upon the date of first disclosure and shall continue for a period of two (2) years thereafter. The confidentiality obligations shall survive termination or expiration of this Agreement for trade secrets and all information that maintains its confidential character under applicable law.

5. Return or Destruction

Upon termination of collaboration, request by Aevum Encyclopedia, or expiration of the Purpose, the Receiving Party shall promptly return or securely destroy all copies of Confidential Information, including digital backups, and certify compliance in writing upon request.

7. Remedies & Injunctive Relief

The Receiving Party acknowledges that unauthorized disclosure or use of Confidential Information may cause irreparable harm for which monetary damages would be inadequate. Accordingly, Aevum Encyclopedia shall be entitled to seek injunctive relief, specific performance, and other equitable remedies, in addition to any legal remedies available at law.

8. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

9. Miscellaneous

• Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force.
• Entire Agreement: This document constitutes the entire agreement regarding confidentiality and supersedes prior discussions or arrangements.
• Amendments: Modifications must be in writing and signed by authorized representatives of both parties.
• Assignment: The Receiving Party may not assign this Agreement without prior written consent.
• Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement.
