1. Introduction & Scope
Welcome to Aevum News Partnership Program. This document outlines the standard terms, conditions, and operational frameworks governing collaborative relationships between Aevum News ("the Publisher") and external organizations, media entities, content creators, or technological partners ("the Partner").
By entering into a partnership agreement, both parties commit to upholding the highest standards of journalistic integrity, transparency, and mutual growth. Custom partnership structures may be negotiated separately and will be documented in a signed Master Services Agreement (MSA).
Note: This document serves as a public reference. Binding agreements require executed contracts reviewed by both parties' legal counsel.
2. Eligibility & Onboarding
2.1 Qualification Criteria
Partners must meet the following baseline requirements:
- Be a legally registered entity with full capacity to enter binding contracts.
- Demonstrate a minimum of 2 years of operational history in media, technology, advertising, or related fields.
- Maintain compliance with applicable local, national, and international laws.
- Agree to Aevum News' editorial independence principles and anti-bribery policies.
2.2 Application & Approval
Prospective partners must submit a formal proposal through our partnership portal. The Aevum Partnerships Team will review applications within 10–14 business days. Approval is discretionary and may request additional documentation, background checks, or pilot collaboration phases.
3. Roles & Responsibilities
3.1 Aevum News Obligations
- Provide access to designated partnership dashboards and analytics tools.
- Ensure timely communication regarding campaign performance, content placement, or technical integration status.
- Maintain editorial independence; partnerships shall not influence journalistic coverage or editorial decisions.
- Protect partner data in accordance with Section 7.
3.2 Partner Obligations
- Deliver content, services, or resources as specified in the executed agreement.
- Maintain accurate billing, attribution, and performance reporting.
- Refrain from unauthorized scraping, automated access, or reverse engineering of Aevum News platforms.
- Cooperate in good faith to resolve technical or operational issues promptly.
4. Content & Editorial Standards
All partner-submitted content, syndicated material, or co-branded features must adhere to Aevum News' Editorial Code:
- Fact Verification: Claims must be sourced, verifiable, and free from known misinformation.
- Impartiality: Content must not contain undisclosed sponsored messaging, astroturfing, or partisan manipulation.
- Attribution: Clear labeling of sponsored, affiliate, or partnership-driven content is mandatory.
- Prohibited Material: Hate speech, defamation, illegal content, or material violating copyright/trademark laws will be rejected and may trigger immediate termination.
Aevum News reserves the right to edit, delay, or reject content that fails to meet these standards without prior notice.
5. Compensation & Reporting
5.1 Revenue Models
Partnerships may operate under one or more of the following structures:
- Revenue Share: Percentage-based split on ad revenue, subscriptions, or transaction value.
- Fixed Fee / Retainer: Pre-agreed monthly or project-based compensation.
- Performance-Based: Payments tied to KPIs (e.g., CPC, CPA, engagement metrics).
5.2 Payment Terms
Invoices are processed on a Net-30 basis following month-end reconciliation. Partners must maintain up-to-date tax documentation (W-8/W-9 or international equivalent). Late payments may accrue interest at 1.5% monthly, subject to local law.
5.3 Transparency
Partners will receive monthly performance reports via the Aevum Partner Portal. Data includes impressions, clicks, conversions, and revenue attribution. Audits may be requested with 30 days written notice, limited to once per calendar year.
6. Intellectual Property & Branding
6.1 Ownership
Each party retains full ownership of its pre-existing intellectual property. Content created specifically for the partnership shall be defined in the agreement as either work-for-hire, jointly owned, or licensed, with explicit usage rights and duration.
6.2 Brand Usage Guidelines
- The Aevum News name, logo, and trademarks may only be used with prior written approval.
- Usage must strictly comply with the Aevum Brand Guidelines (available upon request).
- Partners may not imply endorsement, affiliation, or editorial alignment beyond the scope of the executed agreement.
7. Data Privacy & Security
Both parties shall comply with applicable data protection regulations, including but not limited to GDPR, CCPA, and local privacy laws. Partners processing Aevum News user data must:
- Implement industry-standard encryption and access controls.
- Process data solely for authorized partnership purposes.
- Notify Aevum News within 72 hours of any confirmed or suspected data breach.
- Delete or return all shared data upon termination or request.
A Data Processing Addendum (DPA) will be executed where personal data is exchanged.
8. Term & Termination
8.1 Duration
Standard partnerships commence on the Effective Date and continue for 12 months, automatically renewing for successive 12-month periods unless either party provides 60 days written notice of non-renewal.
8.2 Termination for Cause
Either party may terminate immediately upon written notice if the other:
- Materially breaches this agreement and fails to cure within 30 days.
- Engages in fraud, illegal activity, or conduct that materially harms Aevum News' reputation.
- Becomes insolvent or enters bankruptcy proceedings.
8.3 Post-Termination
Upon termination, all outstanding payments will be settled. Partners must cease all use of Aevum News IP, remove co-branded materials, and fulfill any surviving obligations (confidentiality, IP, payment).
9. Dispute Resolution & Governing Law
This agreement shall be governed by the laws of the State of Delaware, United States, excluding conflict of law principles. Any dispute arising from or related to this partnership shall first be submitted to good-faith mediation. If unresolved within 60 days, disputes shall be settled by binding arbitration administered by JAMS in Wilmington, DE.
The parties waive any right to class action proceedings. Severability applies: if any provision is held invalid, the remainder shall stay in effect. Amendments require written execution by authorized representatives of both parties.
