01. Introduction & Purpose

Aevum Zenth Conglomerate operates across 400+ subsidiaries and 62 countries. Our scale and diversity demand unwavering commitment to ethical conduct, regulatory compliance, and corporate responsibility. This Code establishes the minimum standards of behavior expected of every individual representing Aevum Zenth, regardless of location, division, or employment classification.

Compliance with this Code is mandatory. Ignorance of these policies does not excuse violations. When in doubt, consult your local compliance officer or the Office of Global Compliance.

Policy Hierarchy This Code supersedes any conflicting divisional guidelines. Where local law exceeds these standards, the stricter requirement applies.

Harassment-Free Environment

Physical, verbal, or psychological harassment, bullying, or intimidation of any kind will not be tolerated. This includes third-party vendors, clients, and contractors interacting with Aevum Zenth personnel.

Health, Safety & Environmental Duty

Every division must maintain industry-leading safety protocols. Employees are empowered and required to stop unsafe work. Environmental compliance is mandatory across all manufacturing, logistics, and field operations.

04. Business Integrity & Anti-Corruption

Anti-Bribery & Anti-Corruption

Aevum Zenth maintains a zero-tolerance policy toward bribery, kickbacks, and facilitation payments. This applies globally, regardless of local custom. Gifts, entertainment, and hospitality must be reasonable, properly documented, and never intended to influence official actions.

Conflicts of Interest

Employees must avoid situations where personal interests conflict with corporate duties. This includes outside employment, financial holdings in competitors or suppliers, and familial relationships in reporting chains. All potential conflicts must be disclosed and approved by Compliance.

Fair Competition

We compete on innovation, quality, and service. Anti-competitive practices, price-fixing, market allocation, and bid-rigging are strictly prohibited. All marketing claims must be substantiated and truthful.

05. Confidentiality & Data Protection

Aevum Zenth possesses highly sensitive intellectual property, client data, and strategic information. All personnel must safeguard confidentiality through appropriate access controls, encryption, and need-to-know protocols.

06. Financial & Asset Stewardship

Accurate Recordkeeping

All financial transactions, ledgers, and reports must be accurate, complete, and timely. Falsification of records, off-book accounts, or aggressive accounting practices violate this Code and applicable securities laws.

Asset Protection

Company assets, including equipment, vehicles, intellectual property, and cash reserves, are to be used exclusively for business purposes. Misappropriation, fraud, or negligence resulting in loss will be investigated and prosecuted.

Insider Trading

Trading on material non-public information is strictly prohibited. Employees must adhere to established blackout periods and pre-clearance requirements for equity transactions.

We encourage proactive reporting of suspected violations, unethical behavior, or safety concerns. You may report through your manager, HR, or the dedicated Ethics Hotline.

Non-Retaliation Guarantee

Aevum Zenth strictly prohibits retaliation against any individual who reports concerns in good faith or participates in an investigation. Retaliation will result in immediate disciplinary action, up to and including termination.

08. Compliance & Enforcement

Violations of this Code will be investigated promptly and thoroughly by the Office of Global Compliance, in coordination with Legal and HR. Disciplinary measures range from mandatory retraining to suspension, termination, and civil/criminal referral.

Annual Attestation

All personnel must complete mandatory Code compliance training and sign an annual acknowledgment attesting to their understanding and adherence to these standards.

Amendments

This Code is subject to periodic review and update by the Board of Directors and Executive Leadership Team. Updates will be communicated via official channels and require re-attestation.
