1. Purpose & Scope
Aevum Zenth Conglomerate is committed to maintaining the highest standards of integrity, objectivity, and fiduciary responsibility across all 400 subsidiaries and operational divisions. This policy establishes a comprehensive framework for identifying, disclosing, managing, and resolving actual, potential, or perceived conflicts of interest that may arise within the organization.
Every individual acting on behalf of Aevum Zenth must prioritize the conglomerate's best interests above personal, familial, or external financial considerations. No conflict exists where full transparency, documented approval, and structural mitigation are in place.
2. Definition of a Conflict of Interest
A conflict of interest occurs when an individual's personal interests, relationships, or external obligations could reasonably be expected to interfere with, or appear to interfere with, the impartial execution of their duties to Aevum Zenth. Conflicts are not inherently unethical but become violations when undisclosed, unmanaged, or allowed to influence decision-making.
Common categories include:
- Financial Interests: Ownership, investments, or compensation from entities that compete with, supply, or contract with Aevum Zenth divisions.
- Outside Employment & Boards: Part-time roles, consulting engagements, or directorships that create divided loyalties.
- Gifts & Hospitality: Receiving valuable items, services, or entertainment from vendors, partners, or regulated entities.
- Familial & Personal Relationships: Employment of relatives in reporting lines, procurement, compliance, or audit functions.
- Intellectual Property & Moonlighting: Developing products, research, or services that overlap with corporate IP or core business units.
3. Disclosure Requirements
Proactive disclosure is mandatory. Failure to report a known or reasonably foreseeable conflict constitutes a direct violation of the Code of Conduct and may result in disciplinary action, up to and including termination.

4. Management & Resolution Framework
Not all conflicts require divestment or recusal. Aevum Zenth employs a tiered resolution matrix designed to preserve operational continuity while eliminating undue influence.
Mitigation Strategies
- Recusal: Temporary removal from voting, contracting, or oversight decisions related to the conflicting entity.
- Divestment: Complete disposition of conflicting financial interests within a defined compliance window (typically 60-90 days).
- Restructuring: Reassignment of reporting lines, delegation of authority, or creation of Chinese Wall protocols within divisional teams.
- Waiver: In exceptional cases, the Audit Committee may grant a documented waiver with specific conditions and ongoing monitoring.
Under no circumstances shall any individual solicit, accept, or promise favors, compensation, or preferential treatment in exchange for influencing corporate decisions. Self-dealing, kickbacks, and undisclosed vendor relationships result in immediate suspension pending investigation.
5. Non-Retaliation & Whistleblower Protections
Aevum Zenth maintains a zero-tolerance policy regarding retaliation against any individual who reports a potential conflict, participates in an investigation, or refuses to engage in non-compliant conduct. Protection extends to employees, contractors, vendors, board members, and external partners.
Retaliation includes but is not limited to: termination, demotion, exclusion from projects, altered performance evaluations, or hostile work environment tactics. Any suspected retaliation must be reported immediately and will be escalated to the Independent Ethics Investigator.
