Supplier Code of Conduct

1. Introduction & Scope

Aevum Zenth Conglomerate maintains rigorous operational standards across its 400+ subsidiaries, 62 countries, and multidisciplinary divisions. This Supplier Code of Conduct applies to all current and prospective vendors, contractors, joint venture partners, and tiered supply chain entities engaged in business with Aevum Zenth or any of its affiliated entities.

By entering into any commercial agreement, purchase order, or master service agreement with Aevum Zenth, suppliers explicitly acknowledge and agree to comply with this Code.

2. Legal & Regulatory Compliance

Suppliers must conduct all operations in strict accordance with applicable local, national, and international laws, including but not limited to trade sanctions, export controls, anti-trust legislation, and industry-specific regulations.

• Maintain all necessary business licenses, permits, and certifications.
• Ensure accurate corporate registration and tax compliance.
• Adhere to environmental, safety, and labor statutes in every jurisdiction of operation.
• Proactively notify Aevum Zenth Procurement of any material legal changes, litigation, or regulatory actions.

3. Ethical Business Practices

Aevum Zenth operates with uncompromising integrity. Suppliers must demonstrate transparent, fair, and accountable business conduct throughout the procurement, execution, and fulfillment lifecycle.

Key Expectations

• Accurate Recordkeeping: Maintain complete, truthful, and auditable financial and operational records for a minimum of seven years.
• Fair Competition: Refrain from collusive bidding, market manipulation, or anti-competitive agreements.
• Conflicts of Interest: Disclose any actual, potential, or perceived conflicts involving Aevum Zenth personnel, subsidiaries, or affiliates.
• Gifts & Hospitality: Strict compliance with the Aevum Zenth Anti-Bribery Policy. No gifts, entertainment, or favors exceeding local statutory limits may be offered to Aevum Zenth representatives.

4. Human Rights & Labor Standards

Suppliers must respect fundamental human rights and uphold internationally recognized labor standards, including those established by the ILO, UN Guiding Principles on Business and Human Rights, and local labor codes.

• No Forced or Child Labor: Absolute prohibition of forced, bonded, indentured, or underage labor at any tier of the supply chain.
• Non-Discrimination: Employment and promotion must be based on merit, without discrimination regarding race, gender, religion, age, disability, or sexual orientation.
• Freedom of Association: Workers must be permitted to organize, bargain collectively, and engage in lawful union activities without interference or retaliation.
• Fair Compensation: Wages must meet or exceed legal minimums and industry standards, including timely payment of overtime and benefits.

5. Health, Safety & Environmental Responsibility

Suppliers must prioritize the well-being of workers, communities, and ecosystems. Aevum Zenth aligns with the Paris Agreement, SDGs, and ISO 14001/45001 frameworks.

• Implement comprehensive Occupational Health & Safety (OHS) management systems.
• Minimize waste, optimize resource efficiency, and phase out hazardous substances per REACH/TSCA standards.
• Maintain emergency response protocols and conduct regular safety drills.
• Report all reportable incidents, near-misses, and environmental releases to Aevum Zenth EHS within 24 hours.

6. Anti-Corruption & Bribery

Aevum Zenth enforces a strict zero-tolerance policy toward corruption in any form. Suppliers must comply with the U.S. Foreign Corrupt Practices Act (FCPA), UK Bribery Act, and all applicable anti-corruption laws.

• Prohibit facilitation payments, kickbacks, or illicit incentives to public or private officials.
• Maintain accurate books and records; no off-the-book accounts or unapproved third-party payments.
• Conduct due diligence on subcontractors, agents, and intermediaries.
• Implement internal controls and anti-corruption training for all personnel handling Aevum Zenth contracts.

7. Data Privacy & Cybersecurity

Suppliers handling Aevum Zenth proprietary information, customer data, or connected systems must adhere to enterprise-grade data protection standards.

• Comply with GDPR, CCPA, and regional data sovereignty requirements.
• Implement encryption, access controls, MFA, and secure data disposal protocols.
• Report data breaches or suspected cyber incidents to Aevum Zenth CISO within 4 hours of detection.
• Restrict data usage strictly to contractual purposes; no secondary processing or resale without explicit written consent.

8. Quality, Performance & Continuity

Suppliers must deliver goods and services that meet or exceed agreed specifications, timelines, and reliability benchmarks.

• Maintain ISO 9001 or equivalent quality management systems where applicable.
• Provide documented quality assurance processes, testing methodologies, and corrective action reports.
• Maintain business continuity and disaster recovery plans ensuring minimal disruption to Aevum Zenth operations.
• Accept performance-based KPIs and participate in quarterly business reviews (QBRs).

9. Monitoring, Audits & Remediation

Aevum Zenth reserves the right to verify compliance through documentation reviews, third-party audits, site inspections, and supply chain mapping.

• Suppliers must grant reasonable access to facilities, records, and personnel for audit purposes.
• Non-conformities will be documented in a Corrective Action Request (CAR) with defined resolution timelines.
• Repeat or critical failures may trigger contract termination, financial penalties, or exclusion from the vendor portal.

10. Reporting & Whistleblower Protection

Aevum Zenth maintains secure, anonymous reporting channels for suppliers, employees, and third parties to report suspected violations of this Code.

All reports are investigated promptly and impartially. Retaliation against whistleblowers is strictly prohibited and subject to disciplinary action, up to and including termination.

11. Acknowledgment & Agreement

By executing commercial agreements with Aevum Zenth, your organization certifies that it has read, understands, and will comply with this Supplier Code of Conduct. Aevum Zenth may update this document periodically; suppliers will be notified of material revisions and must reaffirm compliance within 30 days.
