Enterprise Procurement Policies

Standardized procurement framework governing vendor selection, purchasing authority, contract execution, and supply chain compliance across all Aevum Zenth divisions.

1. Scope & Applicability

This policy applies to all purchasing activities, vendor engagements, and contract executions conducted by or on behalf of Aevum Zenth Conglomerate. It covers all 400+ subsidiaries, regional hubs, and joint ventures unless explicitly exempted by the Board of Directors.

Procurement includes goods, services, construction, professional consulting, technology licensing, and capital expenditures. All employees, contractors, and authorized purchasing agents must comply with these guidelines.

⚠️ Compliance Requirement

Violations of procurement policy may result in disciplinary action, contract termination, or legal referral. All purchases above $500 must be logged in the Aevum Procurement Cloud (APC).

2. Core Principles & Ethics

2.1 Fair Competition & Transparency

All procurement activities must prioritize competitive bidding, objective evaluation criteria, and documented decision-making. Favoritism, bid rigging, and anti-competitive practices are strictly prohibited.

2.2 Conflict of Interest

Procurement officers must disclose any personal, financial, or familial relationships with prospective vendors. Conflicts must be reported to the Ethics & Compliance Office within 48 hours.

2.3 Anti-Bribery & Corruption

Aevum Zenth adheres to the FCPA, UK Bribery Act, and OECD guidelines. Facilitation payments, kickbacks, and unauthorized vendor entertainment are strictly forbidden.

3. Vendor Qualification & Onboarding

All vendors must complete the Aevum Vendor Registration Protocol (AVRP) prior to engagement. Required documentation includes:

  • Valid business license & tax identification
  • Proof of insurance (GL, WC, E&O as applicable)
  • W-9 / W-8BEN & payment details
  • ESG & supply chain compliance questionnaire
  • Reference checks (3 years minimum for contracts >$100K)
Vendor Risk Tiering System

Vendors are classified into three risk tiers based on financial stability, regulatory exposure, and geopolitical footprint:

  • Tier 1 (Low Risk): Standard onboarding. Quarterly reviews.
  • Tier 2 (Medium Risk): Enhanced due diligence. Semi-annual audits. Requires Division VP approval.
  • Tier 3 (High Risk): Full forensic screening. Annual third-party audit. Requires CFO & Legal sign-off.

4. Approval Thresholds & Delegation of Authority

Purchasing authority is strictly bound by the following thresholds. Overrides require documented justification and CFO approval.

5. Procurement Workflow

  1. Requisition: Submit PR via APC with justification, budget code, and delivery timeline.
  2. Approval: Automated routing based on threshold matrix. Escalation flags for compliance gaps.
  3. Sourcing: Category manager conducts market research, issues RFQ/RFP, and manages vendor responses.
  4. Evaluation: Cross-functional committee scores proposals on cost, quality, risk, and ESG alignment.
  5. Award & PO: Contract drafted, legally reviewed, and Purchase Order generated in ERP.
  6. Performance: Vendor scorecards tracked quarterly. SLA breaches trigger remediation or termination.
📌 Single-Source Justification

Sole-source purchases are permitted only for proprietary technology, emergency response, or legacy system compatibility. Requires VP-level approval and documentation in the Sole-Source Register.

6. Contract Management & Compliance

6.1 Standard Terms

All contracts must include Aevum Zenth Master Service Agreement (MSA) clauses covering IP ownership, data security, indemnification, termination rights, and dispute resolution (arbitration in Neo Geneva or designated jurisdiction).

6.2 Term & Renewal

Standard contract terms range from 12 to 36 months. Auto-renewal is disabled by default. Renewals require 90-day performance review and budget confirmation.

6.3 Amendments & Change Orders

Any scope, pricing, or timeline changes exceeding 10% of original value require formal amendment processing through Legal & Finance.

7. ESG & Sustainability Requirements

Aevum Zenth mandates that all procurement aligns with our Net-Zero 2040 roadmap and Responsible Supply Chain Charter.

  • Carbon footprint reporting required for contracts >$200K/year
  • Preferred vendor status awarded to ESG-certified suppliers (ISO 14001, SA8000, B-Corp)
  • Zero-tolerance policy for forced labor, child labor, and environmental violations
  • Local sourcing prioritized where logistics and quality permit (Regional Buy Initiative)
🚫 Disqualifying Violations

Vendors found in violation of human rights, environmental safeguards, or anti-corruption standards will be immediately blacklisted. Historical violations within 5 years trigger Tier 3 risk classification.

8. Audit, Reporting & Continuous Improvement

Internal Audit conducts biannual procurement compliance reviews. Findings are reported to the Audit Committee and tracked via the Remediation Dashboard.

Monthly metrics include:
