1. Acceptance of Terms

By accessing, browsing, or utilizing any digital platform, physical facility, service offering, or proprietary system operated by Aevum Zenth Conglomerate or its affiliated entities, you expressly acknowledge and agree to be bound by these Institutional Terms & Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Aevum Zenth Conglomerate ("the Company," "we," "us," or "our").

If you are accessing these systems on behalf of an organization, you warrant that you possess the authority to bind that entity to these Terms. Continued use following any modifications constitutes acceptance of the updated provisions.

1.1 Scope & Applicability

These Terms govern all interactions with Aevum Zenth's 400+ subsidiaries, divisions, and operational units, including but not limited to:

  • Aevum Energy & Power, Zenth Digital Systems, Aevum Aerospace & Defense
  • Zenth Health Sciences, Aevum Capital Group, Aevum Properties
  • Zenth Agritech, Aevum Global Logistics, Zenth Media Group
  • Aevum Infrastructure Corp, Zenth Advanced Research, Aevum Robotics Labs

Where division-specific service agreements, licensing contracts, or regional compliance frameworks exist, they shall operate in conjunction with these Terms. In the event of a direct conflict, the more specific contractual provision shall govern, provided it does not violate mandatory statutory requirements.

1.2 Subsidiary Operations

Each subsidiary operates as a distinct legal entity where applicable, yet remains bound by the parent conglomerate's compliance, security, and operational standards. Users interacting with cross-divisional platforms accept unified data handling protocols and shared infrastructure policies as outlined herein.

2. User Obligations & Conduct

All users, clients, partners, and authorized personnel must adhere to the following obligations:

  1. Lawful Use: Systems and services shall not be used for illicit activities, unauthorized data extraction, or circumvention of security controls.
  2. Account Security: Users are responsible for maintaining the confidentiality of access credentials. Multi-factor authentication is mandatory for administrative, financial, and R&D portals.
  3. Acceptable Use: Prohibited activities include automated scraping without API authorization, malicious payload injection, interference with proprietary algorithms, or misrepresentation of institutional affiliation.
  4. Compliance: Users must comply with applicable local, national, and international regulations, including export controls, anti-money laundering directives, and industry-specific mandates.

Violation of these obligations may result in immediate suspension of access, contractual termination, and referral to legal authorities.

3. Intellectual Property

All content, software, architectures, research outputs, branding assets, and proprietary methodologies accessible through Aevum Zenth platforms are protected under international intellectual property law. This includes patents, trade secrets, copyrights, and registered trademarks.

Users are granted a limited, non-exclusive, non-transferable license to access and utilize these assets strictly for authorized purposes. Reverse engineering, decompilation, or derivative creation without written consent from Zenth Advanced Research or Legal Counsel is strictly prohibited. All third-party integrations remain subject to their respective licenses, which do not supersede these Terms.

4. Data Processing & Privacy

Aevum Zenth processes institutional, operational, and personal data in strict accordance with GDPR, CCPA, APPI, and other applicable data protection frameworks. Cross-border data transfers are governed by Standard Contractual Clauses (SCCs) and regional adequacy determinations.

Our data governance framework ensures:

  • Encryption at rest (AES-256) and in transit (TLS 1.3+)
  • Role-based access control with zero-trust architecture
  • Automated data minimization and retention lifecycle management
  • Right to access, correction, portability, and erasure as mandated

5. Limitation of Liability

To the fullest extent permitted by applicable law, Aevum Zenth Conglomerate and its subsidiaries, officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising from the use or inability to use our platforms or services.

Our aggregate liability for any direct damages shall not exceed the amount of fees paid by the user to the relevant division in the twelve (12) months preceding the claim. Certain exclusions may not apply in jurisdictions where such limitations are prohibited by law.

6. Dispute Resolution & Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Switzerland, without regard to conflict of law principles. The courts of Neo Geneva shall have primary jurisdiction, subject to arbitration clauses in specific subsidiary agreements.

Disputes shall first undergo mandatory mediation through a mutually agreed institutional body. If unresolved within sixty (60) days, matters shall proceed to binding arbitration under ICC Rules, conducted in English, with the seat of arbitration in Geneva. Class action waivers and representative proceedings do not apply where expressly prohibited by local statute.

7. Modifications & Termination

Aevum Zenth reserves the right to modify these Terms at any time to reflect operational changes, regulatory updates, or technological advancements. Material changes will be communicated via institutional notification channels, platform banners, or direct correspondence at least thirty (30) days prior to effectiveness.

Users may terminate their relationship with relevant divisions by submitting formal notice to the designated compliance office. Termination does not relieve parties of obligations accrued prior to the effective termination date, including payment obligations, confidentiality duties, and IP return requirements.
