This Supplier Code of Conduct ("the Code") establishes the minimum standards all suppliers, subcontractors, and service providers must uphold when doing business with Aevum Zenth.
Compliance with this Code is a mandatory condition of all contractual agreements. We expect our partners to embed these principles into their own operations and extend them throughout their supply chains.

2. Legal & Ethical Business Practices
All suppliers must conduct business in full compliance with applicable local, national, and international laws, including but not limited to trade regulations, sanctions, export controls, and industry-specific mandates.
- Maintain accurate, verifiable financial and operational records
- Prohibit fraudulent, deceptive, or misleading business practices
- Ensure fair dealing in all commercial transactions
- Respect intellectual property rights and licensing agreements
3. Human Rights & Labor Standards
Aevum Zenth upholds the Universal Declaration of Human Rights, ILO Core Conventions, and UN Guiding Principles. Suppliers must:
- Provide safe, dignified, and respectful working conditions
- Prohibit forced labor, human trafficking, and child labor
- Guarantee freedom of association and collective bargaining
- Pay at least minimum wage, plus legally mandated overtime
- Restrict working hours to legal limits and ensure rest periods
- Prohibit discrimination based on race, gender, religion, age, disability, or orientation
4. Health, Safety & Environmental Stewardship
People and the planet are non-negotiable priorities. Suppliers must implement management systems aligned with ISO 45001 and ISO 14001 standards, or equivalent recognized frameworks.
- Provide comprehensive health & safety training and PPE
- Conduct regular risk assessments and incident reporting
- Minimize waste, emissions, and hazardous substance usage
- Comply with all environmental permits and discharge limits
- Develop actionable plans to reduce carbon footprint and improve resource efficiency
5. Quality, Product Integrity & Data Security
Suppliers must deliver goods and services that meet or exceed specified technical, safety, and reliability standards. All processes must be documented, traceable, and subject to continuous improvement.
- Maintain quality management systems (ISO 9001 or equivalent)
- Ensure traceability of materials and components
- Implement robust cybersecurity controls (aligned with NIST/ISO 27001)
- Protect Aevum Zenth proprietary data, trade secrets, and customer information
- Report defects, recalls, or security breaches within 24 hours
6. Anti-Corruption & Fair Competition
Corruption undermines trust and market integrity. Suppliers must strictly adhere to anti-bribery laws including the U.S. Foreign Corrupt Practices Act (FCPA) and the UK Bribery Act.
- Zero tolerance for bribes, kickbacks, facilitation payments, or undisclosed gifts
- Maintain transparent gift & entertainment policies (threshold: $100 USD)
- Prohibit collusive bidding, price-fixing, or market allocation
- Diligently screen third-party agents and intermediaries
7. Sustainability & Supply Chain Transparency
As a multidivisional enterprise, Aevum Zenth requires supply chain visibility and sustainable sourcing practices.
- Map and disclose Tier 2 & Tier 3 sourcing for critical materials
- Support responsible mineral sourcing (Conflict-Free, OECD Due Diligence)
- Set measurable sustainability targets and report progress annually
- Prioritize circular economy principles: reduce, reuse, recycle, recover
8. Audits, Monitoring & Continuous Improvement
Suppliers must grant Aevum Zenth or designated third-party auditors reasonable access to facilities, records, and personnel to verify compliance. Audits may be scheduled or unannounced.
Suppliers are expected to:
- Address non-conformances within agreed remediation timelines
- Implement corrective and preventive action (CAPA) plans
- Participate in supplier development workshops and benchmarking
- Annually certify compliance with this Code
9. Reporting Violations & Whistleblower Protection
Aevum Zenth operates an independent, confidential compliance hotline. Reports may be submitted anonymously and are investigated promptly by our Global Compliance Office.
We strictly prohibit retaliation against anyone who reports concerns in good faith. All reporters are protected under our Anti-Retaliation Policy and applicable local laws.

10. Consequences of Non-Compliance
Failure to meet the standards outlined in this Code may result in:
- Mandatory corrective action plans and additional audits
- Suspension of new purchase orders or project eligibility
- Contract termination without penalty to Aevum Zenth
- Reporting to regulatory authorities where legally required
- Permanent removal from the approved supplier registry
11. Acknowledgment & Contact
By entering into a commercial agreement with Aevum Zenth, suppliers acknowledge receipt, understanding, and commitment to this Code. This document may be updated periodically; suppliers will be notified of material changes.
