1. Ownership of Original Work

Unless otherwise specified in a signed project agreement, Artisan Studio retains full copyright and intellectual property rights to all original concepts, sketches, drafts, source files, and final deliverables created during the course of a project. This includes but is not limited to logo designs, brand systems, UI/UX layouts, illustrations, motion graphics, and web assets.

Copyright transfers to the client only upon full payment of all agreed fees and the formal execution of a copyright assignment document, if applicable to the scope of work.

Note: Preliminary concepts, unused proposals, and work-in-progress files remain the exclusive property of Artisan Studio and are not included in final deliverables or copyright transfers.

2. Client Usage Rights & Licensing

Upon full payment, clients are granted a perpetual, non-exclusive, worldwide license to use the final approved deliverables for their intended business purposes. This license covers:

  • Digital and print reproduction across approved media channels
  • Integration into websites, mobile applications, and marketing campaigns
  • Internal business use and employee training materials
  • Limited third-party production (e.g., printers, web developers) strictly for the purpose of delivering the project

Licensing terms may vary based on project scope, budget, and usage scale. Enterprise-level or unlimited commercial licenses require separate negotiation and documentation.

3. Restrictions & Prohibited Uses

To protect both parties and maintain creative integrity, the following restrictions apply to all licensed materials:

  • No Resale: Delivered assets may not be resold, sublicensed, or offered as standalone products for commercial gain.
  • No Template Creation: Clients may not convert deliverables into templates, kits, or stock assets for redistribution.
  • No Trademark Registration: Unless explicitly agreed upon and documented, clients may not register artwork as a trademark without written consent from Artisan Studio.
  • Media Limits: Usage is restricted to the platforms and media channels specified in the project brief. Expanding to new mediums (e.g., merchandise, broadcasting, VR/AR) requires a license amendment.

4. Third-Party Assets, Fonts & Stock

Projects may incorporate licensed third-party resources, including but not limited to:

  • Commercial fonts and typefaces
  • Stock photography, illustrations, and 3D assets
  • Software plugins, UI kits, or development frameworks

Artisan Studio retains all licenses for third-party assets purchased during the project. Clients receive the right to use these assets solely as integrated components of the final deliverables. Redistribution of third-party files in their original, unmodified form is prohibited unless the client secures independent licenses directly from the copyright holders.

Font embedding and web usage require specific licensing tiers. We recommend clients verify web font compatibility with their hosting platform or development team.

5. Portfolio, Exhibition & Marketing Rights

Artisan Studio reserves the right to showcase completed work across its portfolio, social media channels, industry publications, award submissions, and educational case studies. This right is non-exclusive and does not interfere with client confidentiality unless a strict NDA is in place.

Clients requesting exclusivity (i.e., removal from public portfolios) must request this at the project initiation stage. Exclusivity fees may apply and will be outlined in the project proposal.

6. Modifications & Derivative Works

Clients are permitted to make minor adjustments to final deliverables for ongoing brand management. However, significant alterations that compromise the structural integrity, visual balance, or intended application of the design may result in loss of warranty or support from Artisan Studio.

Creation of derivative works (e.g., extended brand applications, animated variations, or platform-specific adaptations) should be reviewed by our team to ensure consistency and proper execution.

7. Project Termination & Rights Reversion

If a project is terminated before completion:

  • Clients retain rights to any work explicitly approved and paid for up to the termination date.
  • Artisan Studio retains full copyright to all unused concepts, drafts, and partially completed assets.
  • Any work created prior to termination may not be used for purposes other than those originally scoped, without additional licensing fees.
  • Re-engagement of terminated work requires a new project agreement and retroactive licensing review.
