Governing Law & Dispute Resolution
This Governing Law & Dispute Resolution policy ("Policy") forms an integral part of the BookEase Terms of Service and applies to your use of the BookEase platform, mobile applications, APIs, and related services (collectively, the "Services"). By accessing or utilizing the Services, you acknowledge that you have read, understood, and agree to be bound by the terms outlined below.
1. Governing Law
All matters relating to the interpretation, validity, enforcement, and performance of the BookEase Terms of Service, Privacy Policy, this Policy, and any disputes arising from or relating to your use of the Services, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles that would result in the application of the substantive laws of any other jurisdiction.
2. Informal Dispute Resolution
BookEase is committed to resolving issues amicably and efficiently. Before initiating any formal legal or arbitration proceedings, you agree to first attempt to resolve the dispute informally. Please submit a written notice of your claim or dispute to our Legal & Compliance Department at legal@bookease.com. Your notice must include a detailed description of the dispute and a specific proposal for resolution. We will make commercially reasonable efforts to address your concern and resolve the matter within sixty (60) days of receiving your notice.
3. Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to the Services, this Policy, or the Terms of Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes, as modified by this Policy.
- Location: The arbitration shall take place in Newark, Delaware, unless both parties mutually agree in writing to an alternative location.
- Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, and scope of this arbitration agreement.
- Finality: Awards rendered by the arbitrator shall be final and binding. Judgment on the award may be entered in any court having jurisdiction thereof.
- Costs: Filing, administration, and arbitrator fees shall be allocated in accordance with the AAA rules. BookEase shall pay all such fees and costs that would not have been incurred if the dispute were resolved in court.
4. Court Jurisdiction (Exceptions)
Notwithstanding the arbitration requirement above, neither party shall be precluded from seeking provisional, injunctive, or declaratory relief in any court of competent jurisdiction to prevent the actual or threatened unauthorized use, misuse, or disclosure of intellectual property, trade secrets, confidential information, or personal data, or to enforce an arbitration award.
Additionally, any dispute that falls outside the scope of binding arbitration under applicable law, or any claim brought in small claims court (provided the claim qualifies under local jurisdictional monetary limits), may be adjudicated in the state or federal courts located in New Castle County, Delaware. Both parties hereby submit to the exclusive personal jurisdiction and venue of such courts for these limited exceptions.
5. Modifications & Updates
BookEase reserves the right to modify, amend, or update this Policy at any time to reflect changes in our services, business practices, or applicable law. Any changes will be posted on this page with a revised "Last Updated" date. Your continued use of the Services following the posting of changes constitutes your acceptance of the revised terms. We strongly encourage you to review this page periodically for updates.
