Limitation of Liability
1 Scope of Advisory Services
LexiGuard Legal Policy Solutions provides strategic policy consulting, compliance frameworks, and advisory services. Our deliverables are intended to guide your internal legal and operational decision-making and do not constitute formal legal representation or establish an attorney-client relationship unless explicitly agreed upon in a separate, signed engagement letter.
Decisions made by your organization based on LexiGuard's recommendations, templates, or compliance roadmaps are solely at your discretion and risk. We do not assume responsibility for outcomes arising from the implementation, modification, or misapplication of our policy materials.
2 Exclusion of Consequential & Indirect Damages
To the maximum extent permitted by applicable law, LexiGuard and its affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, punitive, or consequential damages. This includes, but is not limited to:
- Lost profits, revenue, or business opportunities
- Business interruption or operational delays
- Loss of data, intellectual property, or goodwill
- Costs of procuring substitute services or goods
- Regulatory fines or penalties resulting from third-party actions
This exclusion applies regardless of the legal theory asserted, whether in contract, tort (including negligence), strict liability, or otherwise.
3 Cap on Direct Liability
In the event that LexiGuard is found legally liable for direct damages arising from gross negligence or willful misconduct in connection with our policy consulting services, our total aggregate liability shall not exceed the total fees actually paid by you to LexiGuard for the specific engagement giving rise to the claim during the twelve (12) months immediately preceding the incident.
4 Client Responsibilities & Information Accuracy
The effectiveness and enforceability of our policy deliverables depend heavily on the accuracy, completeness, and timeliness of information provided by your organization. LexiGuard assumes no liability for policy gaps, compliance failures, or regulatory exposure resulting from:
- Failure to disclose material facts, past violations, or internal risk factors
- Providing outdated, incorrect, or misleading operational data
- Delays in implementing recommended policy updates or training programs
- Unauthorized modifications to delivered policy documents without professional review
5 Regulatory Changes & Force Majeure
Legal frameworks and regulatory requirements are subject to frequent amendment, judicial interpretation, and legislative action. LexiGuard designs policies based on the regulatory landscape in effect at the time of delivery. We do not guarantee continuous compliance in the event of unforeseen regulatory shifts, new statutes, or emergency legislative orders.
Additionally, neither party shall be liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, government shutdowns, cyber incidents, or pandemics ("Force Majeure").
6 Third-Party Resources & External References
Our policy frameworks may reference, incorporate, or link to third-party regulatory databases, compliance tools, or external legal publications. LexiGuard does not endorse, control, or assume responsibility for the accuracy, availability, or terms of use of third-party materials. Accessing or relying on external resources is done at your sole risk.
7 Indemnification
You agree to indemnify, defend, and hold harmless LexiGuard and its personnel from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your misuse of policy deliverables, failure to comply with applicable laws despite our guidance, or unauthorized distribution of proprietary framework materials.
8 Amendments & Continued Use
LexiGuard reserves the right to update or modify this Limitation of Liability section at any time to reflect changes in our service offerings, industry standards, or legal requirements. Updates will be published with a revised "Last Updated" date. Continued engagement with our services following such updates constitutes your acceptance of the revised terms.
