Governing Law & Jurisdiction
This Governing Law policy defines the legal framework applicable to all contracts, service agreements, website interactions, and business engagements between LexiGuard Legal Policy Solutions ("LexiGuard," "we," "our," or "us") and our clients, users, vendors, or partners ("you," "your," or "Client"). By utilizing our services or accessing our platforms, you acknowledge and agree to the terms outlined herein.
1. Applicable Laws
All agreements, engagements, and relationships involving LexiGuard Legal Policy Solutions shall be governed by and construed in accordance with the substantive laws of the State of New York, United States of America, without giving effect to any choice-of-law or conflict-of-law provisions that would result in the application of laws other than those of New York. This standard applies uniformly to domestic and international service engagements unless explicitly modified by a signed, jurisdiction-specific addendum.
2. Jurisdiction & Venue
Any legal action, claim, or proceeding arising out of or relating to this policy, our terms of service, or any agreement between LexiGuard and the Client shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. Both parties hereby irrevocably consent to personal jurisdiction and agree that venue in such courts is proper and convenient.
📌 International & Cross-Border Engagements
For clients operating outside the United States, LexiGuard may execute supplementary jurisdictional addendums to ensure alignment with local statutory requirements. Notwithstanding such addendums, the primary governing law and primary venue remain New York unless expressly waived in a written, countersigned agreement.
3. Dispute Resolution Mechanism
LexiGuard prioritizes efficient, professional, and cost-effective resolution of disputes. In the event of a disagreement, the parties agree to the following structured process:
- Good Faith Negotiation: Both parties shall attempt to resolve the dispute through direct negotiation within thirty (30) calendar days following written notice of the claim.
- Mediation: If negotiation fails, the dispute shall be submitted to non-binding mediation administered by the American Arbitration Association (AAA) in New York, NY.
- Binding Arbitration or Litigation: Should mediation be unsuccessful, either party may initiate binding arbitration under the AAA Commercial Arbitration Rules or pursue litigation in the agreed jurisdiction, at LexiGuard's reasonable discretion unless the primary service contract specifies otherwise.
4. Severability
If any provision of this Governing Law policy or any related LexiGuard agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be severed. The remaining provisions shall continue in full force and effect. The parties agree to negotiate in good faith to replace the severed provision with a valid clause that most closely reflects the original commercial and legal intent.
5. Amendments & Regulatory Updates
LexiGuard reserves the right to amend this Governing Law policy to reflect changes in federal, state, or international legislation, regulatory guidance, or internal compliance standards. Material amendments will be communicated to active clients via official email and posted on our website. Continued engagement with LexiGuard following such updates constitutes binding acceptance of the revised terms.
6. Waiver & Cumulative Rights
Failure or delay by either party in exercising any right, remedy, or privilege under this policy shall not constitute a waiver of that right or any other right. No single or partial exercise of any right shall preclude any future exercise of the same or other rights. All remedies provided herein are cumulative and shall not exclude any remedies available under applicable law.
