Indemnification

This Indemnification Policy ("Policy") is a part of the Paws Source Terms of Service and governs the obligations of users regarding claims, damages, and losses arising from their use of the Paws Source platform, services, and products (collectively, the "Services"). By accessing or using the Services, you agree to the terms outlined in this Policy.

1. Scope of Indemnification

You agree to defend, indemnify, and hold harmless Paws Source, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and successors (collectively, the "Paws Source Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including but not limited to attorney's fees, court costs, and settlement amounts) arising from:

• Your use and access to the Services;
• Your violation of any term, condition, or provision of these Terms of Service;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
• Your violation of any applicable laws, rules, or regulations;
• Any claim that your use of the Services caused damage to a third party;
• Your interaction with, or submission of content to, community features, forums, or user-generated content sections of the Services;
• Any misrepresentation made by you regarding your identity, authority, or compliance with applicable laws.

2. Cooperation and Control of Defense

In the event of a claim or action brought against Paws Source by a third party that may give rise to indemnification obligations under this Policy, you agree to:

• Provide timely notice to Paws Source of the claim in writing to legal@pawssource.com;
• Cooperate fully with Paws Source in the defense of such claim, including providing reasonable access to information, documents, and personnel;
• Grant Paws Source the right to assume the sole control and defense of such claim at its sole discretion, provided that you shall have the right to participate in such defense at your own expense.

Paws Source shall notify you of any claim, action, or proceeding against you under this section promptly after becoming aware of it.

3. No Admission of Liability

Nothing in this Policy shall be construed as an admission of liability, fault, or wrongdoing by Paws Source or any of the Paws Source Parties. Paws Source makes no representations or warranties regarding the accuracy, completeness, or adequacy of this Policy, to the fullest extent permitted by law.

4. Limitations on Indemnification

Your obligations under this Policy shall not apply to claims arising from:

• Paws Source's gross negligence or willful misconduct;
• Paws Source's breach of these Terms of Service or applicable law;
• Damages resulting from Paws Source's unauthorized use of your content or personal data in violation of our Privacy Policy;
• Claims arising from features of the Services provided entirely by Paws Source without your interaction or input, except where such claims result from your misuse of such features.

5. Indemnification for Third-Party Proceedings

The indemnification obligations outlined in this Policy shall survive the termination or expiration of your account or use of the Services for any reason. This ensures that Paws Source remains protected against claims that may arise after your relationship with us has ended.

6. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of the State of [Your State/Jurisdiction], without regard to its conflict of law principles.
