Governing Law & Jurisdiction

1. Choice of Governing Law

All matters arising from or relating to this agreement, including but not limited to the Paws Source Terms of Service, Privacy Policy, subscription contracts, service-level agreements, and any ancillary documentation, shall be governed by and construed in accordance with the internal laws of the State of Delaware, United States. This choice of law shall apply regardless of any conflict of law principles or statutes that might otherwise dictate or mandate the application of a different jurisdiction’s laws.

2. Exclusive Jurisdiction & Venue

You and Paws Source, Inc. irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Newark, Delaware, for the resolution of any disputes, claims, or proceedings arising out of or connected to this agreement, your use of the Paws Source platform, or any products, services, or interactions facilitated through our ecosystem. Both parties waive any objections to personal jurisdiction or forum non conveniens related to such courts.

3. Mandatory Arbitration

Except where explicitly prohibited by applicable federal or state law, any claim or dispute arising out of or relating to this agreement, its breach, termination, or the platform’s services shall be resolved through binding, confidential arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration proceedings shall be conducted in Newark, Delaware. Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction. The prevailing party in any such arbitration or legal action shall be entitled to recover reasonable attorneys’ fees, expert costs, and related litigation expenses.

4. Class Action & Representative Proceeding Waiver

Unless all parties mutually agree in writing to pursue alternative dispute resolution, or where expressly prohibited by law, you agree that any arbitration or legal proceedings shall be conducted solely on an individual basis. Class arbitrations, class action lawsuits, representative actions, and consolidated claims are strictly prohibited. This waiver extends to all potential claims, whether grounded in contract, tort, consumer protection statutes, or any other legal or equitable theory.

5. Limitation of Liability

To the fullest extent permitted by applicable law, Paws Source, Inc., and its subsidiaries, affiliates, officers, directors, employees, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business interruption, loss of goodwill, or other intangible losses, resulting from: (i) your access to, use of, or inability to access or use the platform; (ii) any conduct, content, or actions of third parties on the platform; (iii) any content obtained from the platform; or (iv) unauthorized access, use, or alteration of your transmissions, data, or content. In no event shall Paws Source’s aggregate liability exceed the amount paid by you, if any, to Paws Source during the twelve (12) months immediately preceding the event giving rise to the claim.

6. Severability & Enforceability

If any provision of this Governing Law section, the Terms of Service, or any related agreement is held by a court of competent jurisdiction to be unenforceable, invalid, or void, such provision shall be modified to the minimum extent necessary to render it enforceable and valid while preserving the original commercial and legal intent. The remaining provisions shall continue in full force and effect without impairment.

7. Amendments & Modification

Paws Source reserves the right to modify, amend, or update this Governing Law clause and associated legal documentation at any time without prior notice. Material changes will be communicated via email to the address associated with your user account and/or through a prominent notice on our digital properties. Your continued access to or use of Paws Source services following the posting of revised terms constitutes your express acceptance of such modifications.
