1. Introduction

PixelCraft Studio creates bespoke digital experiences, user interfaces, and brand systems tailored to our clients' strategic goals. This document outlines how intellectual property (IP) is handled throughout the design lifecycle, from initial concepts to final delivery.

Note: This policy supplements our Master Services Agreement (MSA). In case of conflict between this page and a signed contract, the signed agreement prevails. For project-specific IP terms, refer to your Statement of Work (SOW).

2. Ownership of Deliverables

Upon full payment of all invoiced amounts, PixelCraft Studio assigns to the client all right, title, and interest in the final, approved design deliverables. This includes:

  • Final high-fidelity UI screens, mockups, and prototypes
  • Approved design systems, component libraries, and style guides
  • Exported assets (SVGs, PNGs, PDFs, etc.) ready for development

Ownership is strictly tied to payment completion. Until the project balance is settled, all assets remain the exclusive intellectual property of PixelCraft Studio.

3. Licensing Model

3.1 Client License

Clients receive a perpetual, non-exclusive, royalty-free license to use the approved deliverables for their intended business purposes. This license covers:

  1. Internal use across all company departments
  2. Web, mobile, and desktop deployment
  3. Marketing, advertising, and promotional materials
  4. Future iterations and maintenance (subject to version control)

3.2 Agency License

PixelCraft Studio retains a perpetual license to use project materials for:

  • Portfolio display and case studies
  • Marketing, social media, and promotional content
  • Industry awards and design publications
Confidential Projects: Clients may request non-disclosure of their work. This must be stipulated in writing before project kickoff and may incur a confidentiality premium.

4. Source Files & Proprietary Tools

Final deliverables include production-ready files and organized Figma/Sketch/Adobe source files. However, the following are excluded from IP transfer:

  • PixelCraft Studio's internal design templates, UI kits, and foundational frameworks
  • Proprietary prototyping scripts, plugins, or automation tools
  • Raw research datasets, interview recordings, and proprietary analytics models
  • Version history, alternate concepts, and rejected design iterations

These retained assets are licensed to clients only for the purpose of maintaining the delivered product. Redistribution, resale, or use in unrelated projects is strictly prohibited.

5. Trademarks & Copyright

All design work created by PixelCraft Studio is automatically protected under international copyright law. By signing off on deliverables, clients acknowledge:

  • They will not claim authorship of the design work
  • They will maintain proper attribution where applicable
  • They will not register design elements as their own trademark without written consent

If trademark filing is required for UI elements, icons, or brand systems, PixelCraft Studio will provide necessary documentation and cooperation upon request.

6. Third-Party Assets

Some projects may incorporate third-party resources including stock imagery, licensed fonts, icon sets, or plugin-based components. These are governed by their respective licenses and:

  • Are not owned by PixelCraft Studio
  • Must be purchased or licensed by the client for commercial use
  • Require compliance with the original vendor's EULA

We maintain a transparent inventory of all third-party assets used in your project. Licensing costs, if any, are disclosed upfront in the SOW.

7. Portfolio & Marketing Usage

PixelCraft Studio reserves the right to feature completed projects in our portfolio, website, social channels, and industry submissions. We prioritize client success and will:

  • Highlight the client's brand and product appropriately
  • Obtain written approval before public publication when requested
  • Remove content promptly if requested due to rebranding, acquisition, or strategic shifts

8. Termination & IP Reversion

If a project is terminated by either party:

  • Client termination: IP rights to completed work transfer only upon settlement of all outstanding invoices for work performed to date.
  • Agency termination: All partially completed files and research will be securely archived. No IP transfer occurs until contractual obligations are fulfilled.

In all termination scenarios, PixelCraft Studio will provide a final audit of deliverables and a secure handover package within 14 business days of payment confirmation.
