Limitation of Liability

Effective Date: October 24, 2025

This Limitation of Liability provision forms an integral part of the engagement agreements, terms of service, and service contracts between PixelCraft Studio ("Studio", "we", "us", or "our") and our clients, customers, and users ("Client", "you", or "your"). By engaging our services or using our deliverables, you acknowledge and agree to the limitations outlined herein.

1. Scope of Services

PixelCraft Studio provides UX/UI design, prototyping, design systems, visual design, and related creative consulting services. Our deliverables are creative and strategic assets intended to guide development and user experience implementation. They are not guarantees of specific business outcomes, user adoption rates, or performance metrics.

2. Limitation of Direct Damages

To the fullest extent permitted by applicable law, PixelCraft Studio's total aggregate liability arising out of or related to any engagement, deliverable, or breach of contract shall not exceed the total amount of fees actually paid by the Client to the Studio for the specific service or project from which the claim arose during the twelve (12) months immediately preceding the event giving rise to the claim.

3. Exclusion of Consequential & Indirect Damages

In no event shall PixelCraft Studio be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or anticipated business opportunities
  • Loss of data, user engagement, or market position
  • Costs of procurement of substitute services or technologies
  • Business interruption or delayed product launches
  • Third-party claims, regulatory penalties, or compliance failures

This exclusion applies regardless of the legal theory asserted (contract, tort, strict liability, negligence, or otherwise), even if PixelCraft Studio has been advised of the possibility of such damages.

4. Intellectual Property & Design Deliverables

Design files, prototypes, style guides, and source materials delivered by PixelCraft Studio are provided for implementation purposes only. The Studio makes no warranties that deliverables will be free from third-party intellectual property claims or fully compatible with all development environments, CMS platforms, or browser ecosystems. Clients are responsible for verifying technical feasibility and conducting independent QA testing prior to production deployment.

5. Third-Party Platforms & Integrations

Our designs may reference or be optimized for third-party platforms (e.g., iOS Human Interface Guidelines, Material Design, web standards, SaaS templates). PixelCraft Studio assumes no liability for changes made by third-party vendors, platform updates, API deprecations, or accessibility compliance failures resulting from implementation choices made by the Client or their development team.

6. Client Responsibilities & Assumptions

Certain limitations of liability may be affected by Client actions, including but not limited to:

  • Providing inaccurate, incomplete, or misleading project requirements
  • Failing to deliver feedback within agreed review windows
  • Modifying design files without Studio approval or developer guidance
  • Using deliverables for purposes outside the original scope

In such cases, PixelCraft Studio's liability may be further limited or voided entirely, at our sole discretion.

7. Survival & Waiver

The limitations and exclusions set forth in this section shall survive the termination or expiration of any engagement agreement. No waiver of any provision of this Limitation of Liability shall be deemed or shall constitute a waiver of any other provision, nor shall any single or partial exercise of any right hereunder preclude any other or further exercise thereof.

8. Governing Law & Dispute Resolution

This Limitation of Liability shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under or in connection with this provision shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California, subject to any arbitration or mediation clauses specified in the primary engagement agreement.

9. Severability

If any provision of this Limitation of Liability is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified by the court to the minimum extent necessary to make it valid and enforceable while preserving the Studio's intended liability protections.
