StarWave Entertainment Service Extension Agreement
1. Term & Duration: This extension amends the original agreement dated January 15, 2023, and shall commence on the expiration of the current term unless terminated earlier per Section 4.
2. Fees & Payment: All extended service fees are due upon execution. Late payments incur a 1.5% monthly interest charge. Taxes are additional as applicable.
3. Service Level: StarWave guarantees priority resource allocation, dedicated production management, and adherence to the agreed-upon deliverables schedule.
4. Termination: Either party may terminate with 60 days written notice. Early termination fees apply proportional to unused months.
5. IP & Ownership: All creative works produced under this agreement remain the exclusive property of the Client upon full payment. StarWave retains portfolio usage rights for marketing.
6. Liability: StarWave's liability is limited to the total fees paid in the preceding 6 months. Force majeure events suspend obligations proportionally.
