All work product specifically created for your project during the engagement term becomes the exclusive property of your organization upon final payment.

Included: Custom code, UI/UX designs, documentation, and deliverables outlined in the Statement of Work.

Background IP & Tooling

Pre-existing frameworks, proprietary development tools, and internal libraries remain the intellectual property of That Is A Q. You receive a perpetual, royalty-free license to use them within the licensed deliverables.

License Type: Non-exclusive, perpetual, transferable for internal business use.

Confidentiality & NDA

Both parties agree to maintain strict confidentiality of proprietary information, trade secrets, and project data. Data is encrypted in transit and at rest. No client data is used for model training or third-party sharing.

Retention: 5 years post-engagement. Secure data deletion available upon written request.

Third-Party Assets & Licenses

Open-source libraries, stock assets, or premium plugins used in the project will be clearly documented. Commercial licenses are transferred to your organization where applicable.

Compliance: All third-party usage complies with MIT, Apache 2.0, or commercial license terms.

I have reviewed the Foreground & Background IP ownership structure and understand what is transferred upon final payment.

I acknowledge the Confidentiality & Data Security protocols and agree to the mutual NDA terms.

I understand that third-party dependencies will be documented and licensed appropriately for our use case.

I authorize That Is A Q to proceed to the final signature & execution phase upon completion.
