- Verdantix shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use our services, including but not limited to loss of profits, business interruption, or data loss.
- Our total aggregate liability for any claim related to a specific engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim during the preceding twelve (12) months.
- In the event of hardware or system deployment, liability is limited to repair, replacement, or pro-rated credit as specified in the applicable warranty terms.
3. Technology & Performance Risks
Renewable energy generation, battery storage efficiency, and carbon offset calculations are subject to environmental variables, grid conditions, regulatory changes, and third-party factors. Verdantix does not guarantee specific energy yield percentages, ROI timelines, or carbon reduction targets unless explicitly contractually bound in writing.
Our analytics dashboards and reporting tools provide estimates based on industry-standard models. Actual results may vary due to weather patterns, equipment degradation, maintenance schedules, and operational changes outside our control.
4. Indemnification
You agree to indemnify, defend, and hold harmless Verdantix, its officers, directors, employees, agents, and partners from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services in violation of applicable laws or regulations; (b) improper installation, modification, or maintenance by third parties not authorized by Verdantix; or (c) your breach of this agreement or our Terms of Service.
5. Third-Party Partners & Integrations
Verdantix may integrate with third-party platforms, hardware manufacturers, grid operators, and certification bodies. We do not control, endorse, or assume responsibility for the content, reliability, or practices of these third parties. Use of third-party services is at your own risk, and any warranties or liability limitations provided by those parties govern accordingly.
6. Regulatory Compliance & Advisory Disclaimer
While Verdantix strives to align its consulting and reporting tools with current environmental regulations (including EPA, EU ETS, LEED, and ISO 14001 standards), we do not provide legal, tax, or financial advice. Regulatory frameworks for sustainability and carbon trading evolve rapidly. Clients are responsible for verifying compliance with local, state, and federal requirements and should consult qualified legal or environmental counsel before making binding decisions based on our reporting outputs.
7. Governing Law & Jurisdiction
This disclaimer and any disputes arising from or related to your use of Verdantix services shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in San Francisco, California, and you hereby consent to personal jurisdiction and venue therein.
