1. Introduction & Acceptance

Welcome to WebCraft Studios. By engaging our services, purchasing a package, or using our website, you agree to be bound by these Terms of Service ("Terms"). These Terms govern the relationship between WebCraft Studios ("Company," "we," "us," or "our") and you ("Client," "you," or "your"). If you do not agree with any part of these Terms, please do not use our services.

2. Scope of Services

WebCraft Studios specializes in the design, development, and deployment of professional business and corporate websites, landing pages, and digital assets. Services may include, but are not limited to:

  • Custom web design and user experience (UX) strategy
  • Front-end and back-end development
  • Content management system (CMS) integration
  • Performance optimization and SEO fundamentals
  • Ongoing maintenance and technical support

The specific scope, deliverables, and timeline for your project will be outlined in a separate Statement of Work (SOW) or project agreement, which shall take precedence in case of any conflict with these general Terms.

3. Client Responsibilities

To ensure timely and successful project delivery, Clients agree to:

  • Provide all necessary text, images, branding assets, and login credentials in a timely manner
  • Review deliverables within the agreed-upon feedback windows
  • Designate a single point of contact for project communications
  • Ensure all provided content complies with applicable laws and does not infringe on third-party rights

Delays caused by late feedback, missing assets, or scope changes not covered in the original SOW may result in project timeline adjustments and additional fees.

4. Payment Terms

All pricing, payment schedules, and invoicing details will be specified in the project agreement. Standard payment terms include:

  • A deposit (typically 50%) is required to initiate any project
  • Remaining balance is due upon project completion and prior to final deployment
  • Late payments are subject to a 1.5% monthly finance charge
  • We reserve the right to suspend work or deployment for unpaid invoices

All fees are non-refundable once work has commenced, except as explicitly stated in your project agreement or required by law.

5. Intellectual Property & Ownership

Upon full and final payment, WebCraft Studios grants the Client exclusive ownership of the final, delivered website design and custom code specifically created for the Client. However:

  • Pre-existing assets, libraries, frameworks, and proprietary development tools remain the exclusive property of WebCraft Studios
  • Clients are responsible for obtaining licenses for any third-party fonts, plugins, stock imagery, or software used in their project
  • We retain the right to display completed projects in our portfolio, case studies, and marketing materials unless a confidentiality agreement is executed

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, business strategies, client data, and technical details shared during the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

7. Limitation of Liability & Warranties

WebCraft Studios warrants that all services will be performed in a professional manner consistent with industry standards. However, our services are provided "as is" without additional warranties, express or implied.

In no event shall WebCraft Studios be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use or inability to use our services. Our total aggregate liability shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

8. Project Timeline & External Factors

While we strive to meet all agreed-upon deadlines, WebCraft Studios is not liable for delays caused by factors beyond our reasonable control, including but not limited to third-party hosting outages, payment gateway failures, or force majeure events.

9. Termination

Either party may terminate an ongoing project with written notice. In the event of Client-initiated termination, WebCraft Studios will be compensated for all work completed up to the termination date, plus any non-cancelable expenses. Upon termination, we will deliver all accessible work-in-progress upon receipt of final payment.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in San Francisco, California.

11. Changes to These Terms

WebCraft Studios reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Continued use of our services following such changes constitutes acceptance of the new Terms.
