01 Overview

At Well Known, we believe in transparent, fair, and legally sound practices regarding creative ownership and usage rights. This document outlines how intellectual property, digital assets, and deliverables are licensed between our agency and our clients.

All specific licensing terms will be formally documented in your master service agreement or project statement of work. This page serves as a general reference and does not supersede signed contracts.

02 Brand Assets & Logos

Upon full payment of all associated project fees, clients are granted exclusive ownership of final approved brand marks, logos, and visual identity systems created specifically for them.

  • Well Known retains a non-exclusive, perpetual license to use delivered work in our portfolio, case studies, and marketing materials unless a strict NDA or buyout clause is signed.
  • Trademark registration remains the client's responsibility. We provide clean vector files and brand guidelines to facilitate this process.

03 Website & Digital Content

Custom-written copy, original photography commissioned through our agency, and bespoke UI/UX designs become the property of the client upon project completion and final invoicing settlement.

Note: Website source code, CMS themes, and custom plugins developed during the engagement are licensed to the client for exclusive use on the designated domain(s). Source files may be delivered upon request as part of an extended handover package.

04 Client Deliverables

Depending on your selected service tier, deliverables may include:

  • Final raster and vector files (PNG, JPG, SVG, AI, PSD)
  • Brand style guide and usage documentation
  • Optimized web assets and favicon sets
  • Deployment files and technical documentation

Deliverables are intended for production use. Archival backups are maintained by Well Known for 12 months post-launch unless otherwise agreed.

05 Third-Party Materials

Stock photography, licensed fonts, premium plugins, and third-party API integrations used in projects are subject to their respective license agreements.

  • Well Known ensures all third-party assets are properly licensed for web and commercial use.
  • Clients must comply with font licensing limits (e.g., seat counts, installation caps). Additional licenses are purchased at client cost.
  • Any third-party assets embedded in deliverables remain under their original license terms and may not be redistributed or sublicensed.

06 Modifications & Redistribution

Clients are fully permitted to modify, adapt, and repurpose their owned assets for internal use, marketing, product packaging, and digital deployment.

Redistribution of source files, templates, or proprietary systems developed by Well Known to third-party vendors or contractors requires written consent. Rebranding or resale of our proprietary frameworks is strictly prohibited.

07 Termination & Ownership

If a project is terminated by either party:

  • Usage rights transfer only for completed and paid milestones.
  • Unpaid balances suspend all licensing until settled.
  • In the event of non-payment, Well Known reserves the right to issue a takedown notice for publicly deployed assets and reclaim licensing rights until financial obligations are met.
