Limitation of Liability

Effective Date: January 1, 2025 Last Updated: January 1, 2025

This Limitation of Liability Policy ("Policy") forms an integral part of the Terms of Service provided by Admin ("Company," "we," "our," or "us"). By accessing, registering for, or using our website, software, applications, or related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by the terms set forth below. If you do not agree with any portion of this Policy, you must immediately discontinue all use of the Services.

1. Scope of Liability

To the fullest extent permitted by applicable law, Admin shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to:

whether arising from your access to, use of, or inability to use the Services; any conduct or content of third parties on the Services; any content obtained through the Services; or unauthorized access, alteration, or disruption of your transmissions or data. This limitation applies regardless of the legal theory asserted, including contract, tort, strict liability, negligence, or breach of warranty, even if Admin has been advised of the possibility of such damages.

2. Exclusion of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the maximum extent permitted by law, Admin expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, or uninterrupted operation. We do not guarantee that the Services will meet your requirements, operate without interruption, be secure, error-free, or compatible with all hardware, software, or network configurations.

3. Liability Cap

In no event shall Admin's total aggregate liability to you for any and all claims, actions, or causes of action (whether in contract, tort, strict liability, or otherwise) arising out of or related to this Policy or the Services exceed the greater of: (a) the total fees actually paid by you to Admin for the specific service giving rise to the claim during the twelve (12) months immediately preceding the date the claim arose; or (b) one hundred dollars ($100.00 USD). This cap applies cumulatively across all claims and shall not be interpreted as allowing multiple recoveries that would exceed this maximum amount.

4. Indemnification

You agree to indemnify, defend, and hold harmless Admin, its affiliates, officers, directors, employees, agents, successors, and assigns from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and litigation costs) arising out of or related to: (i) your use or misuse of the Services; (ii) your violation of this Policy, the Terms of Service, or any agreement with Admin; (iii) your violation of any applicable laws, regulations, or third-party rights; or (iv) your content, data, or materials submitted to or transmitted through the Services.

5. Force Majeure

Admin shall not be deemed in default or liable for any failure or delay in performance under this Policy (except for payment obligations) resulting from causes beyond our reasonable control, including but not limited to: acts of God, war, terrorism, civil or military unrest, pandemic or epidemic, government orders, labor disputes, equipment failure, power outages, telecommunications or internet infrastructure failures, or other emergencies. We will use commercially reasonable efforts to mitigate the impact of such events and will notify you promptly of any anticipated material delays.

6. Governing Law & Dispute Resolution

This Policy shall be governed by, construed, and enforced in accordance with the laws of the State of [Insert Jurisdiction], United States, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Policy or the Services shall be exclusively resolved in the state or federal courts located in [Insert County], [Insert Jurisdiction]. You hereby consent to the personal jurisdiction and venue of such courts and waive any right to trial by jury.

7. Modifications to This Policy

Admin reserves the right, at its sole discretion, to modify, amend, or replace this Policy at any time. If a revision is deemed material by Admin, we will provide at least thirty (30) days' advance notice via email to the account holder or by posting a prominent notice on the Services prior to the effective date. Your continued use of the Services following the posting of revised terms constitutes your acceptance of such changes. It is your responsibility to review this Policy periodically for updates.
