1 Acceptance of Terms

By accessing, browsing, or using the Admin platform, website, software, applications, or related services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms and conditions that may apply.

⚠️ If you do not agree to these Terms, you must not access or use the Services. Using the Services constitutes your acceptance of these Terms.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Admin Inc. ("Admin," "we," "us," or "our"). We reserve the right to update or modify these Terms at any time, and continued use of the Services following any changes constitutes your acceptance of the updated Terms.

These Terms apply to all visitors, users, and others who access or use the Services. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, and "you" shall refer to that entity.

2 Definitions

For the purposes of these Terms, the following definitions shall apply:

  • "Admin Platform" refers to the web-based and software services provided by Admin Inc., including dashboards, tools, integrations, and APIs.
  • "Content" refers to any text, data, images, graphics, software, audio, video, or other materials uploaded, posted, or otherwise made available through the Services.
  • "Account" refers to your registered user profile and associated credentials on the Admin Platform.
  • "Subscription" refers to your paid or free plan access to the Services under the applicable pricing tier.
  • "Personal Data" refers to any information that can identify you as an individual, as defined under applicable data protection laws.
  • "Third-Party Services" refers to external platforms, tools, or services that integrate with or are accessible through the Admin Platform.

3 Account Registration & Security

3.1 Registration Requirements

To access certain features of the Services, you must create an Account. During registration, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.

3.2 Account Security

You must:

  • Use a strong, unique password for your Account
  • Enable two-factor authentication (2FA) where available
  • Notify us immediately at security@admin.com if you suspect any unauthorized access
  • Not share your credentials with any third party

3.3 Account Restrictions

You may not:

  • Create more than one Account per individual or entity without prior written consent
  • Use a name or identity that is false, misleading, or infringes on others' rights
  • Transfer or sell your Account to any third party
  • Allow anyone other than authorized team members to access your Account

⛔ Admin is not responsible for any loss or damage arising from your failure to maintain the security of your Account credentials.

4 Description of Services

4.1 Platform Overview

Admin provides a cloud-based platform that enables teams to manage operations, analyze data, automate workflows, and collaborate in real-time. The Services include but are not limited to dashboard analytics, workflow automation, team collaboration tools, integrations, and AI-powered insights.

4.2 Service Availability

Admin strives to maintain 99.9% uptime for the Services, as defined in our Service Level Agreement (SLA). However, we do not guarantee that the Services will be uninterrupted, error-free, or available at all times. Scheduled maintenance may occur with reasonable notice.

4.3 Modifications to Services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. Changes may include feature additions, removals, modifications, or upgrades. Admin shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

5 Fees, Billing & Payments

5.1 Pricing Plans

Admin offers various subscription plans, each with specific features, limits, and pricing. Pricing is displayed on our website at the time of purchase and may be subject to change. You will be charged for the plan you select.

5.2 Payment Terms

  • All fees are non-refundable except as expressly stated in these Terms or required by applicable law
  • Payments are processed securely via our payment providers
  • Billing cycles are monthly or annual, depending on your selected plan
  • You are responsible for all taxes, duties, and governmental fees associated with your Subscription

5.3 Invoicing & Receipts

Digital invoices and receipts are automatically generated and available in your Account dashboard. For Enterprise customers, custom invoicing options may be available upon request.

5.4 Payment Failures

If a payment fails, we will attempt to re-process the charge. If payment cannot be obtained, your access to paid Services may be suspended. You will be notified before any suspension occurs and given an opportunity to update your payment information.

5.5 Refund Policy

💳 Admin offers a 14-day money-back guarantee for new subscriptions. Requests must be submitted within 14 days of the initial purchase via our support team. Refunds are processed within 5-10 business days.

6 Acceptable Use & User Conduct

6.1 Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To transmit any material that is defamatory, offensive, unlawful, or infringes upon any third party's rights
  • To impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • To engage in any activity that could disable, overburden, or impair the proper working of the Services
  • To use any automated means (scrapers, bots, spiders) to access the Services without prior written consent
  • To attempt to gain unauthorized access to any portion of the Services or any other systems or networks

6.2 Content Standards

Any Content you upload or submit through the Services must be your own or you must have all necessary rights and permissions to use it. You are solely responsible for your Content and the consequences of posting it.

🚫 Admin reserves the right to remove any Content that violates these Terms or is deemed harmful, and to suspend or terminate Accounts associated with such violations.

6.3 Reporting Violations

If you become aware of any violation of these Terms, please report it to us immediately at abuse@admin.com. We will investigate all reported violations and take appropriate action.

7 Intellectual Property Rights

7.1 Admin's IP

The Services, including all software, content, features, functionality, design, graphics, text, logos, and trademarks, are owned by Admin Inc. and its licensors and are protected by intellectual property laws, including copyright and trademark laws. The Services are licensed, not sold, to you.

2.2 Your Content

You retain all intellectual property rights in and to any Content you upload, submit, or display through the Services. By using the Services, you grant Admin a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your Content solely for the purpose of operating, providing, and improving the Services.

7.3 Feedback

Any suggestions, feedback, or recommendations regarding the Services shall be considered the sole property of Admin. We are not required to compensate you for any such feedback, and you hereby assign all rights in such feedback to Admin.

7.4 Trademarks

The Admin name, logo, and all related names, logos, product names, and service names are trademarks of Admin Inc. You must not use such marks without our prior written permission.

8 Data, Privacy & Security

8.1 Data Collection

Admin collects and processes Personal Data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and disclosure of your Personal Data as described in the Privacy Policy.

8.2 Data Processing

Admin acts as a data processor for business customers who use the Services to process their own customers' data. Admin will process such data only in accordance with the instructions of the business customer and in compliance with applicable data protection laws.

8.3 Data Security

Admin employs industry-standard security measures to protect your data, including:

  • 256-bit SSL/TLS encryption for data in transit
  • AES-256 encryption for data at rest
  • Regular security audits and penetration testing
  • Access controls and authentication mechanisms
  • Regular backups and disaster recovery procedures

8.4 Data Retention

Admin retains your data for as long as your Account is active or as needed to provide the Services. Upon account termination, data will be retained for 30 days and then permanently deleted, unless a longer retention period is required by law.

8.5 Data Transfer

Your data may be transferred to and processed in countries other than your country of residence. By using the Services, you consent to such transfers. Admin ensures appropriate safeguards are in place for all international data transfers.

9 Limitation of Liability & Disclaimers

9.1 No Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADMIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall Admin's total liability exceed the amount you have paid to Admin in the twelve (12) months preceding the event giving rise to the claim.

📋 The limitations and exclusions in this section apply to the maximum extent permitted by applicable law and do not exclude any liability that cannot be legally excluded.

9.3 Force Majeure

Admin shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, internet service provider failures, or labor disputes.

10 Termination

10.1 By You

You may terminate your Account at any time by following the instructions in your Account settings or by contacting our support team. Upon termination, your access to the Services will cease, and you may lose access to your Content.

10.2 By Admin

Admin may suspend or terminate your Account and access to the Services at any time, with or without cause and with or without notice, including if we believe, in our sole discretion, that you have violated these Terms.

10.3 Effect of Termination

Upon termination:

  • Your right to use the Services will immediately cease
  • Admin may delete your Content from its servers within 30 days
  • Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability
  • Any outstanding fees remain due and payable

11 Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to attempt to resolve any dispute informally by contacting us at legal@admin.com. We will make commercially reasonable efforts to resolve the dispute within sixty (60) days.

11.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

11.3 Class Action Waiver

You agree that any arbitration or court proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator finds the class action waiver unenforceable, the entirety of this Section 11 shall be null and void.

11.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

12 Changes to Terms

12.1 Modification Rights

Admin reserves the right to modify, amend, or update these Terms at any time. We will notify users of material changes by posting a notice on the Services or by sending an email notification to the email address associated with your Account.

12.2 Notice of Changes

For material changes, we will provide at least thirty (30) days' advance notice. The "Last Updated" date at the top of this page will be revised to reflect the date of the most recent changes.

12.3 Continued Use

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the changes, you should discontinue use of the Services and terminate your Account.
