This Governing Law and Jurisdiction agreement (the "Agreement") constitutes a binding legal document between you (the "User") and Aevum Encyclopedia, Inc., a corporation organized under the laws of the State of Delaware, United States (the "Company," "we," "us," or "our"). By accessing, browsing, or using the Aevum Encyclopedia platform, website, applications, or related services (collectively, the "Service"), you acknowledge and agree to be bound by this Agreement.

1. Applicable Law

Except where explicitly prohibited by mandatory local law, this Agreement, your use of the Service, and any claims arising out of or related to them shall be governed by, construed, and enforced in accordance with the internal laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For users located in the European Economic Area (EEA), Switzerland, or the United Kingdom, this Agreement is governed by the laws of your country of residence. However, our core operational agreements and corporate governance remain subject to Delaware law as indicated above.

2. Jurisdiction & Venue

Any legal suit, action, or proceeding arising out of or related to this Agreement or the Service shall be instituted exclusively in the federal or state courts located in Wilmington, New Castle County, Delaware, United States. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection regarding forum non conveniens or improper venue.

Notwithstanding the foregoing, for individual consumer disputes outside the United States, you may also pursue claims in the courts of your country of residence where required by mandatory consumer protection legislation.

3. Dispute Resolution

3.1 Good Faith Negotiation

Before initiating any formal legal proceeding, both parties agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the Service through good-faith negotiations for a period of no less than thirty (30) days following written notice of the dispute.

3.2 Mediation

If the dispute cannot be resolved through direct negotiation, the parties agree to submit the matter to non-binding mediation administered by a mutually agreed-upon mediation service before pursuing litigation or arbitration.

3.3 Class Action Waiver & Arbitration (Where Applicable)

To the fullest extent permitted by applicable law, any unresolved dispute shall be resolved through binding individual arbitration in accordance with the rules of the American Arbitration Association (AAA). You waive the right to participate in a class action lawsuit or class-wide arbitration. This waiver applies on an individual basis and does not restrict either party's right to seek relief in small claims court.

International Users: If you reside outside the United States, arbitration and class action waiver provisions may not apply to you depending on your local jurisdiction. Please consult the applicable consumer laws in your region.

4. Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to reflect the original intent of the parties as closely as possible in a legally enforceable manner. The remaining provisions shall remain in full force and effect.

5. Modifications to This Agreement

Aevum Encyclopedia reserves the right to update, modify, or replace this Governing Law agreement at any time. Material changes will be communicated via prominent notice on the Service or through direct email notification to registered users. Your continued use of the Service following the posting of revised terms constitutes acceptance of those changes.
