1. Purpose & Applicability

This Indemnification Policy (the "Policy") establishes the terms, conditions, and procedures under which Aevum Zenth Conglomerate and its affiliated entities (collectively, "Aevum Zenth" or the "Company") shall provide indemnification, advancement of expenses, and liability protection to covered persons, partners, contractors, and subsidiaries. This Policy applies uniformly across all operational divisions, corporate subsidiaries, and joint ventures registered under the Aevum Zenth umbrella.

The Company maintains this Policy to fulfill statutory requirements, uphold corporate governance standards, and ensure consistent risk allocation across its global enterprise.

2. Scope of Coverage

Indemnification under this Policy extends to the following categories, subject to the limitations and conditions outlined herein:

Authorized Scope Actions taken in good faith, in the reasonable belief that such actions were in the best interest of the Company or within lawful authority.

4. Indemnification Obligations

Aevum Zenth agrees to indemnify and hold harmless the Indemnified Party against Covered Losses arising from Covered Claims, provided that:

  1. The Indemnified Party acted in good faith and within the Authorized Scope;
  2. Timely written notice of the Claim was provided to the Company's Legal Compliance Office;
  3. The Indemnified Party reasonably cooperates with the Company in the defense or settlement of the Claim;
  4. No settlement or admission of liability is made without the Company's prior written consent, unless required by law.

The Company may, at its discretion, advance legal expenses prior to the final disposition of a Claim, subject to receipt of an undertaking by the Indemnified Party to repay such advances if it is ultimately determined that indemnification is not permitted under this Policy or applicable law.

5. Claims & Notice Procedure

Notice Requirement: All claims must be reported in writing to the Legal Compliance Office within ten (10) business days of receipt of a demand, subpoena, or formal allegation. Failure to provide timely notice may result in delayed or denied indemnification.

The Company reserves the exclusive right to select and direct legal counsel for the defense of Covered Claims. The Indemnified Party retains the right to participate in defense strategy and must not unreasonably withhold cooperation. All communications regarding indemnification claims must be routed through the Company's secure legal portal or designated compliance email.

6. Limitations & Exclusions

Notwithstanding any other provision, Aevum Zenth shall not be obligated to indemnify any party for losses arising from:

Indemnification obligations under this Policy are subject to mandatory limitations under applicable corporate law. Where statutory caps or prohibitions apply, the Policy shall be construed in accordance with such legal boundaries.

7. Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of the Republic of Neo Geneva, without regard to its conflict of law principles. Any dispute arising out of or relating to this Policy, including indemnification claims, shall be subject to the exclusive jurisdiction of the commercial courts of Neo Geneva, unless international arbitration is expressly agreed upon in a separate binding contract.

The Company reserves the right to modify, amend, or terminate this Policy upon thirty (30) days' written notice to all affected parties. Modifications shall not retroactively impair rights accrued under prior valid claims.
