12. Governing Law & Jurisdiction

Corporate Structure & Incorporation
Aevum Zenth Conglomerate is a multinational holding entity incorporated and registered under the laws of the Republic of Singapore. All subsidiaries, divisions, and affiliated operating companies maintain independent legal registration within their respective jurisdictions, yet remain bound by the overarching corporate governance framework established by the parent entity.
Governing Law
These Terms, along with any disputes arising out of or in connection with the use of Aevum Zenth services, platforms, or corporate agreements, shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law principles. Users and commercial partners acknowledge that Aevum Zenth operates across multiple jurisdictions, and where local statutory requirements supersede these terms, such requirements shall prevail to the minimum extent necessary.
Dispute Resolution & Venue
Any legal action, proceeding, or dispute arising from or related to these Terms shall be exclusively litigated in the competent courts of Singapore. Parties waive any objection to venue or jurisdiction in such courts. For matters below SGD 250,000, disputes shall first be submitted to non-binding mediation administered by the Singapore International Mediation Centre (SIMC). Arbitration, if pursued, shall follow the rules of the Singapore International Arbitration Centre (SIAC).
Severability & Waiver
If any provision of these Terms is held to be invalid, unenforceable, or contrary to applicable statutory law, such provision shall be modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall remain in full force and effect. No failure or delay by Aevum Zenth in exercising any right or remedy shall operate as a waiver thereof.
Amendments & Updates
Aevum Zenth reserves the right to amend, modify, or update this Governing Law clause at any time. Material changes will be communicated through official corporate channels, regulatory filings, and prominent notice on this page. Continued use of our services or engagement in commercial activity constitutes acceptance of updated governing terms.
