1. Acceptance of Terms
By accessing, browsing, or using any websites, applications, digital platforms, physical facilities, products, or services provided by Aevum Zenth Conglomerate and its affiliated subsidiaries, divisions, or operating entities (collectively, "Aevum Zenth", "we", "us", or "our"), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree to these terms, you must immediately cease use of all Aevum Zenth services and depart from any restricted premises.
Notice: These terms apply globally and govern all interactions with Aevum Zenth across its 400+ subsidiaries and operational divisions.
2. Definitions
For the purposes of this agreement, the following definitions shall apply:
- "Services" refers to all digital platforms, software, APIs, web portals, mobile applications, cloud infrastructure, and physical operations provided by Aevum Zenth.
- "User" refers to any individual, corporate entity, government body, or legal person accessing or utilizing Aevum Zenth Services.
- "Content" includes all text, images, data, software, trademarks, patents, designs, and proprietary materials published or hosted by Aevum Zenth.
- "Jurisdiction" refers to any national, regional, or municipal legal authority where Aevum Zenth operates.
3. Use of Services & Platforms
Aevum Zenth grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services strictly for lawful personal, commercial, or institutional purposes. This license does not include rights to reproduce, distribute, modify, create derivative works from, reverse engineer, decompile, or disassemble any portion of our Services without express written consent from Aevum Zenth Legal.
Certain Services may require registration, authentication, or subscription. You are responsible for maintaining the confidentiality of your credentials and for all activities conducted under your account. Aevum Zenth reserves the right to suspend or revoke access if unauthorized use is detected.
4. Intellectual Property
All Content, including but not limited to the Aevum Zenth brand, trademarks, logos, proprietary algorithms, research data, technical documentation, patents, and trade secrets, remains the exclusive property of Aevum Zenth Conglomerate or its licensors. Unauthorized commercial exploitation, scraping, or unauthorized redistribution of Aevum Zenth IP will result in immediate legal action.
Users may submit feedback, ideas, or suggestions to Aevum Zenth. By submitting such material, you irrevocably grant Aevum Zenth a worldwide, royalty-free, perpetual license to use, modify, and commercialize such submissions without obligation for attribution or compensation.
5. User Conduct & Restrictions
You agree not to use Aevum Zenth Services to:
- Violate any applicable local, national, or international laws or regulations.
- Interfere with, disrupt, or attempt to gain unauthorized access to any Aevum Zenth server, network, or system.
- Transmit malware, exploit code, or engage in unauthorized scanning or penetration testing.
- Impersonate Aevum Zenth employees, officials, or authorized partners.
- Use automated means (bots, scrapers, crawlers) to extract data unless explicitly permitted under a written API license agreement.
- Engage in activities that facilitate illegal trade, sanctions evasion, or export control violations.
Aevum Zenth reserves the right to monitor, log, and report illegal activities to appropriate law enforcement and regulatory authorities.
6. Data Privacy & Protection
Your privacy is governed by our Privacy Policy, which is incorporated herein by reference. Aevum Zenth collects, processes, and stores data in compliance with GDPR, CCPA, HIPAA, SOC 2, ISO 27001, and other applicable data protection frameworks. Cross-border data transfers are secured through standard contractual clauses and adequacy decisions. Users in regulated industries must ensure their data usage aligns with sector-specific compliance requirements.
7. Disclaimers & Limitations
Aevum Zenth Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Aevum Zenth does not warrant that Services will be uninterrupted, error-free, secure, or fit for a particular purpose. To the fullest extent permitted by law, Aevum Zenth and its subsidiaries, directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising from your use of our Services.
In no event shall aggregate liability exceed the amount paid by you to Aevum Zenth for the specific service giving rise to the claim during the twelve (12) months preceding the incident.
8. Indemnification
You agree to indemnify, defend, and hold harmless Aevum Zenth and its related parties from any claims, liabilities, damages, losses, expenses (including reasonable legal fees), and penalties arising out of or related to: (a) your violation of these Terms; (b) your use of Services; (c) your violation of any third-party rights; or (d) any content you submit or transmit through Aevum Zenth platforms.
9. Account Termination
Aevum Zenth may terminate or suspend your access to Services immediately, without prior notice or liability, for conduct that we believe violates these Terms, threatens user safety, compromises system integrity, or violates applicable law. Upon termination, your right to use Services ceases immediately, and any active licenses are revoked. Provisions regarding IP, disclaimers, limitations of liability, indemnification, and dispute resolution shall survive termination.
10. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Canton of Geneva, Switzerland, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be subject to mandatory good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce (ICC) by one or more arbitrators appointed in accordance with said rules. The arbitration shall take place in Geneva, Switzerland, in the English language.
11. Modifications to Terms
Aevum Zenth reserves the right to modify, amend, or replace these Terms at any time. Material changes will be communicated via electronic notice to your registered contact method, platform announcements, or legal correspondence. Continued use of Services following the effective date of revised Terms constitutes acceptance of the changes. It is your responsibility to review these Terms periodically.
