7. Termination
Policies and procedures governing the conclusion of agreements and project engagements.
7.1 Termination by Either Party
Either party may terminate the agreement for any reason by providing written notice in accordance with the notice period outlined in Section 7.2. Termination for cause may occur immediately if one party materially breaches the terms of the agreement and fails to remedy such breach within seven (7) business days of receiving written notice.
Artisan Studio reserves the right to suspend or terminate services if payment terms are violated, or if the requested work violates applicable laws, ethical guidelines, or intellectual property rights.
7.2 Notice Period
Standard project engagements require a minimum of fourteen (14) business days' written notice for termination without cause. For ongoing retainer agreements, a thirty (30) calendar day notice period applies.
Note: Early termination due to client-requested scope abandonment or failure to provide necessary assets may be subject to an early termination fee equal to 50% of the remaining project value.
7.3 Payment & Settlement
Upon termination, the Client shall promptly pay Artisan Studio for all work completed and expenses incurred up to the effective date of termination. Invoicing will be issued within five (5) business days, with payment due net-15.
Refunds, where applicable, will be processed based on the unused portion of prepaid retainers, less any administrative or sunk costs directly tied to the terminated engagement.
7.4 Return of Materials & Intellectual Property
Following full payment and termination, Artisan Studio will deliver all finalized, approved assets in agreed-upon formats. Work-in-progress files, raw project files, and internal design explorations will remain the intellectual property of Artisan Studio unless explicitly purchased.
Clients are required to return or destroy any confidential materials, drafts, or proprietary tools provided by Artisan Studio during the engagement.
7.5 Survival of Terms
Certain provisions of the agreement shall survive termination, including but not limited to:
- Intellectual property ownership and licensing terms
- Confidentiality and non-disclosure obligations
- Payment responsibilities and invoicing procedures
- Limitation of liability and dispute resolution clauses
- Third-party asset licensing and compliance requirements
