Welcome to BrightMinds Tutoring. These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, tutoring platform, and related services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

BrightMinds Tutoring is committed to providing high-quality, personalized educational support. These Terms outline the rights, responsibilities, and legal framework governing our relationship with students, parents, and guardians.

1. Acceptance of Terms

By creating an account, scheduling a session, or otherwise using our Services, you expressly agree to comply with these Terms. If you are using our Services on behalf of a minor, you represent and warrant that you are the parent or legal guardian of that minor, and you accept full responsibility for their use of our platform.

If you do not agree to these Terms, you must discontinue use of our Services immediately.

2. Eligibility & Registration

You must be at least 13 years of age to use our Services. Users under the age of 18 must have verifiable parental or guardian consent. During registration, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Services & Access

BrightMinds Tutoring provides educational support through scheduled one-on-one and group tutoring sessions, delivered virtually or in-person depending on availability and your selected plan. We also provide supplementary learning materials, progress tracking tools, and scheduling features.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice.

4. User Accounts & Security

You are solely responsible for safeguarding your login credentials and for any activity under your account. You must notify us immediately at hello@brightminds.com of any unauthorized use or security breach. We reserve the right to disable accounts suspected of fraudulent activity or Terms violations.

5. Payment, Billing & Refunds

All fees for subscription plans, single sessions, or add-on services must be paid in advance unless otherwise stated. Payments are processed securely via approved third-party payment processors. Prices are listed in USD and are subject to change with prior notice.

• Refunds: Single sessions canceled with less than 24 hours' notice are non-refundable. Monthly plans canceled within the first 7 days qualify for a prorated refund. After 7 days, refunds are evaluated on a case-by-case basis.
• Absences: Sessions missed without proper notice are charged in full unless a tutor-approved makeup session is scheduled.
• Taxes: Additional taxes may apply depending on your jurisdiction.

6. Intellectual Property

All content, materials, lesson plans, worksheets, video recordings, software, and branding provided through BrightMinds Tutoring are owned by BrightMinds or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use these materials solely for personal educational purposes. Redistribution, commercial use, or unauthorized copying is strictly prohibited.

7. User Conduct & Academic Integrity

You agree to use our Services respectfully and in compliance with all applicable laws and educational standards. Prohibited conduct includes, but is not limited to:

• Using our platform to cheat, plagiarize, or submit work as your own on external assignments or exams
• Harassing, intimidating, or discriminating against tutors, staff, or other users
• Recording sessions without explicit written consent from all participants
• Attempting to bypass payment systems or share account credentials with unauthorized users

We maintain a strict zero-tolerance policy for academic misconduct. Violations may result in immediate termination and reporting to relevant educational institutions.

8. Limitation of Liability & Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. BrightMinds Tutoring shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, missed academic opportunities, or third-party claims arising from your use of our Services.

To the fullest extent permitted by law, our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless BrightMinds Tutoring, its founders, tutors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of our Services, violation of these Terms, or infringement of any third-party rights.

10. Termination & Suspension

You may terminate your account at any time by contacting support or updating your subscription settings. BrightMinds reserves the right to suspend or terminate your access to our Services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in San Francisco, California, unless otherwise required by law. Class action lawsuits and jury trials are waived to the extent permitted.

12. Modifications to These Terms

BrightMinds Tutoring reserves the right to update or modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Your continued use of our Services following the posting of changes constitutes acceptance of those changes.
