Acceptance of Terms

Please review the CloudNexus Terms of Service and Acceptance Agreement before proceeding. Your explicit acceptance is required to create an account, provision resources, and access our infrastructure.

Introduction & Scope

Welcome to CloudNexus. These Terms of Service ("Terms") govern your use of our cloud infrastructure, virtual private servers, managed databases, global CDN, and related developer tools. By creating an account, deploying workloads, or utilizing any CloudNexus service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.

Eligibility & Account Security

You must be at least 18 years of age or possess the legal authority to bind an organization. You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens. CloudNexus is not liable for unauthorized access resulting from credential compromise, except where caused by our platform breach.

Acceptable Use Policy

CloudNexus operates on a shared infrastructure model. You agree to use our services exclusively for lawful purposes and in compliance with all applicable local, national, and international regulations. Prohibited activities include, but are not limited to: malware distribution, phishing, cryptographic mining without authorization, denial-of-service attacks, unauthorized network scanning, and any activity that materially degrades performance for other tenants.

Billing, Usage & Payment

Services are billed on a subscription or pay-as-you-go basis. Pricing is subject to adjustment with 30 days' prior notice via dashboard or email. You authorize CloudNexus to charge your registered payment method for all accrued usage, overage fees, and support charges. Late payments may trigger service suspension after a 15-day grace period. Refunds are processed strictly according to our published Refund Policy.

Data Ownership, Privacy & Security

You retain full ownership of all data stored, processed, or transmitted through CloudNexus infrastructure. We implement AES-256 encryption at rest, TLS 1.3 in transit, and strict access controls. CloudNexus will not access, modify, sell, or share your data except to fulfill service obligations, respond to lawful legal processes, or with your explicit written consent. Service Level & Limitations

CloudNexus provides a 99.999% uptime SLA for core infrastructure components, excluding scheduled maintenance, force majeure events, third-party carrier failures, or customer-induced misconfigurations. We reserve the right to modify, suspend, or discontinue services with reasonable notice. Liability for indirect, incidental, consequential, or punitive damages is expressly limited to the amount paid for the affected service in the preceding 12 months.

Termination & Data Export

Either party may terminate this agreement with 30 days' written notice. CloudNexus may terminate access immediately for material violations of these Terms, fraudulent activity, or severe security breaches. Upon termination, you may export your data via our APIs or dashboard within a 30-day retention window. All outstanding balances become immediately due and payable.

Modifications & Governing Law

CloudNexus may update these Terms periodically. Material changes will be communicated via email, dashboard notification, or platform banner. Continued use of services following posted updates constitutes binding acceptance. These Terms are governed by the laws of the jurisdiction in which CloudNexus operates. Disputes shall be resolved through binding arbitration unless otherwise mandated by applicable consumer protection statutes.
