1. Introduction & Acceptance
1.1 Introduction to CloudNexus Services
Welcome to CloudNexus. This document constitutes Section 1 of the CloudNexus Cloud Services Agreement (the "Agreement"). It outlines the foundational terms under which CloudNexus, Inc. ("Company", "we", "us", or "our") provides cloud hosting, infrastructure, managed databases, CDN, and related services (collectively, the "Services") to you ("Customer", "you", or "your").
CloudNexus operates a globally distributed network of data centers, offering enterprise-grade infrastructure designed for scalability, security, and high availability. By accessing, evaluating, provisioning, or utilizing any portion of our Services, you acknowledge that you have read, understood, and agree to be bound by the terms set forth herein.
1.2 Acceptance of Terms
Your acceptance of this Agreement is required prior to activation, billing, or continued use of any CloudNexus resources. Acceptance may be expressed through one or more of the following actions:
- Creating an account via our website or API and completing the onboarding flow;
- Executing a signed Enterprise Service Agreement (ESA) with our sales team;
- Initiating a paid subscription, deployment, or resource allocation;
- Continuing use of the Services following notice of updated terms.
⚠️ Important: If you do not agree to any provision of this Agreement, you must immediately cease all access to and use of CloudNexus Services and request account closure via our support portal.
1.3 Eligibility & Authorized Use
By accepting this Agreement, you represent and warrant that:
- You are at least 18 years of age or the age of majority in your jurisdiction;
- You possess the legal capacity to enter into binding contracts;
- If acting on behalf of an organization, you are duly authorized to bind that entity to these terms;
- You will comply with all applicable local, national, and international laws, including export controls and data protection regulations (e.g., GDPR, CCPA, HIPAA where applicable).
CloudNexus reserves the right to verify your identity, request additional documentation, or suspend services if eligibility or authorization is questioned.
1.4 Scope & Applicability
This Agreement governs all Services provided by CloudNexus, including but not limited to:
- Virtual Private Servers (VPS) & Bare Metal Hosting
- Managed Kubernetes & Container Orchestration
- Global Content Delivery Network (CDN) & Edge Computing
- Object Storage, Databases, & Caching Layers
- Security Suite, Monitoring, & Analytics Dashboards
- APIs, SDKs, Developer Tools, & Documentation
Additional service-specific terms, service level agreements (SLAs), pricing schedules, and data processing addendums may apply and are incorporated by reference. In the event of a conflict, explicitly signed Enterprise agreements shall prevail over standard posted terms.
1.5 Modifications & Notice
CloudNexus may update this Agreement from time to time to reflect changes in our Services, legal requirements, or industry standards. Material changes will be communicated via:
- Email to the registered account contact(s);
- Notifications within your CloudNexus Dashboard;
- Public announcements on our legal or status pages.
Continued use of the Services following the effective date of any modification constitutes your acceptance of the revised terms. If you do not agree to the updated Agreement, you must terminate your use of the Services prior to the effective date.
