Terms of Service

By accessing, registering, or using any CloudNexus services, infrastructure, documentation, or platforms (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately cease use of our Services.
These Terms constitute a legally binding agreement between you ("Customer" or "You") and CloudNexus, Inc. ("Company", "we", "us", or "our").
2. Description of Services
CloudNexus provides cloud infrastructure and hosting services, including but not limited to:
- Virtual Private Servers (VPS) and Bare Metal Instances
- Managed Kubernetes and Container Orchestration
- Content Delivery Network (CDN) and Global Edge Routing
- Managed Databases (MySQL, PostgreSQL, Redis, MongoDB)
- Object Storage, Load Balancing, and DNS Management
- Security, Monitoring, and Compliance Tooling
Service features, availability, and configurations may vary by region and tier. Detailed specifications are available in our official documentation and Service Level Agreements (SLAs).
3. User Accounts
To access certain Services, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities occurring under your account. You must:
- Provide accurate, current, and complete registration information
- Immediately notify us of any unauthorized access or security breach
- Ensure account access is granted only to authorized personnel
CloudNexus reserves the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity, with or without prior notice.
4. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and industry standards. You expressly prohibit the following:
- Hosting, distributing, or transmitting illegal content, malware, or phishing materials
- Engaging in DDoS attacks, brute force, or unauthorized network scanning
- Exceeding resource limits or causing disproportionate load on shared infrastructure
- Using Services for cryptocurrency mining without explicit written authorization
- Violating third-party intellectual property or privacy rights
CloudNexus reserves the right to monitor usage patterns and may terminate service immediately upon determining a violation of this policy.
5. Service Level Agreement & Availability
CloudNexus strives to maintain continuous, high-availability infrastructure. Standard SLA commitments vary by service tier and are outlined in our published SLA documentation. Uptime credits are the sole and exclusive remedy for SLA breaches, subject to minimum thresholds and verification requirements.
Services are provided "as-is" and "as-available" to the extent permitted by law. Scheduled maintenance, unscheduled outages caused by third-party providers, force majeure events, or Customer misconfigurations are excluded from SLA calculations.
6. Intellectual Property Rights
All content, software, interfaces, trademarks, logos, and documentation related to CloudNexus Services are owned by CloudNexus, Inc. and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.
You retain all rights to your data, applications, and content hosted on our infrastructure. CloudNexus claims no ownership over Customer data. You may not copy, modify, distribute, or reverse-engineer any CloudNexus proprietary software or documentation without prior written consent.
7. Data Privacy & Security
Your use of CloudNexus Services is also governed by our Privacy Policy. We implement industry-standard security measures, including encryption in transit (TLS 1.3) and at rest (AES-256), infrastructure isolation, regular penetration testing, and compliance with SOC 2 Type II and ISO 27001 frameworks.
While we maintain robust security controls, you remain responsible for securing your own applications, configurations, and access credentials. We recommend enabling multi-factor authentication, regular backups, and least-privilege access policies.
8. Limitation of Liability
To the maximum extent permitted by applicable law, CloudNexus, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill, arising from your use or inability to use the Services.
Our total aggregate liability for any claim arising from these Terms shall not exceed the total amount paid by you to CloudNexus in the twelve (12) months preceding the claim. Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages; in such cases, liability is limited to the fullest extent permitted by law.
9. Termination
You may terminate your account at any time through the Customer Portal or by contacting support. Upon termination, active services will continue until the end of the current billing period unless otherwise requested.
CloudNexus may suspend or terminate services immediately upon written notice if you breach these Terms, fail to remit payment, or engage in conduct that threatens infrastructure integrity. Upon termination, you will have a thirty (30) day grace period to export data. CloudNexus is not responsible for data loss after this period.
10. Modifications to Terms
CloudNexus reserves the right to modify, update, or replace these Terms at any time. Material changes will be communicated via email, account notifications, or prominent website notice at least fourteen (14) days prior to the effective date. Continued use of the Services following the effective date constitutes acceptance of the revised Terms.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware. Both parties consent to personal jurisdiction and venue therein.
