Section 9: Termination

9.1 General Right to Terminate
This Agreement may be terminated in accordance with the provisions set forth in this Section 9. Either party may exercise their right to terminate subject to the conditions, notice periods, and obligations detailed herein. Termination does not waive any accrued rights or remedies, nor does it relieve either party of obligations arising prior to the effective date of termination.
9.2 User-Initiated Termination
Users may terminate their CloudNexus account and all associated services at any time by:
- Submitting a formal termination request through the Customer Portal under Account → Settings → Termination
- Or sending a written notice to legal@cloudnexus.io
Termination will take effect at the end of the current billing cycle for prepaid plans, or immediately upon confirmation for pay-as-you-go accounts. No cancellation fees apply.
9.3 Company-Initiated Termination
CloudNexus reserves the right to suspend or terminate all or part of a User's account immediately upon written notice if:
- The User breaches any material provision of this Agreement and fails to cure such breach within fourteen (14) days of written notice
- The User engages in illegal activity, abuse, or misuse of cloud infrastructure, including but not limited to unauthorized access, malware distribution, or denial-of-service attacks
- Payment for services remains outstanding for more than thirty (30) days past the invoice date
- CloudNexus ceases operation of the Service, in which case Users will receive at least sixty (60) days' advance notice
9.4 Effect of Termination
Upon effective termination:
- All licenses, access rights, and permissions granted under this Agreement shall immediately cease
- CloudNexus will deactivate all active instances, databases, storage buckets, and network resources
- Any custom configurations, deployment pipelines, or CI/CD integrations will be disabled
- CloudNexus will not be liable for data loss resulting from delayed export after the termination effective date
9.5 Data Retention & Export
CloudNexus acknowledges that Users retain all rights to their data. Prior to termination, Users are strongly encouraged to export all data using the built-in migration tools or API endpoints.
Following termination, CloudNexus will retain encrypted backups of User data for a period of thirty (30) days to allow for recovery in case of accidental termination. After this period, all data will be securely purged in accordance with ISO 27001 and NIST SP 800-88 standards. Users may request certified destruction documentation upon completion.
9.6 Outstanding Charges & Refunds
Termination does not relieve the User of financial obligations accrued prior to the termination date. All unpaid invoices must be settled within fifteen (15) days of the effective termination date. For prepaid annual plans, CloudNexus will issue a prorated refund for unused months, subject to a 10% administrative processing fee. Refunds will be processed to the original payment method within 14 business days of final settlement.
