1. Introduction & Scope
Welcome to CyberVault. These Terms and Conditions ("Terms") govern your access to and use of CyberVault's cybersecurity platforms, applications, APIs, documentation, and related services (collectively, the "Services"). By registering, logging in, or otherwise accessing our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.
2. Account Registration & Security
2.1 Registration Requirements
You must provide accurate, complete, and current information during registration. Accounts may be restricted to users aged 18 or older, or those acting under direct supervision of a legal guardian or authorized representative.
2.2 Credential Protection
You are solely responsible for maintaining the confidentiality of your account credentials. CyberVault strongly recommends enabling multi-factor authentication (MFA). You must immediately notify us of any unauthorized access or security breach via security@cybervault.com.
2.3 Shared & Team Accounts
Team and Enterprise plans may support multiple users under a single organizational account. The primary account administrator is responsible for managing access permissions, offboarding former employees, and ensuring compliance with these Terms.
3. Permitted Use & Licensing
CyberVault grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms and your subscribed plan. The license terminates automatically upon cancellation, termination, or breach of these Terms. You may not reverse engineer, decompile, disassemble, or attempt to extract source code from any CyberVault software or APIs.
4. Prohibited Activities
You agree not to use the Services to:
- Conduct unauthorized penetration testing, network scanning, or vulnerability exploitation against any third-party systems without explicit written consent
- Circumvent, disable, or interfere with security features, rate limits, or access controls
- Use the Services for illegal activities, including but not limited to data theft, fraud, ransomware distribution, or espionage
- Resell, sublicense, or redistribute CyberVault's technology without a formal partnership agreement
- Upload malicious payloads, zero-day exploits, or unclassified threat samples to our analysis engines
5. Data Privacy & Compliance
Your privacy is fundamental to our security model. CyberVault processes personal and organizational data in strict accordance with our Privacy Policy, GDPR, CCPA, and applicable regional regulations. We implement enterprise-grade encryption (AES-256 at rest, TLS 1.3 in transit), role-based access controls, and regular third-party security audits. You retain full ownership of your data. CyberVault will never sell, lease, or share your data with third parties for marketing purposes.
6. Intellectual Property
All content, software, logos, trademarks, algorithms, threat intelligence feeds, and documentation provided by CyberVault are protected by intellectual property laws. Nothing in these Terms grants you ownership rights to CyberVault's IP. You grant CyberVault a limited license to use, store, and process data necessary to deliver the Services and improve threat detection models.
7. Disclaimers & Limitation of Liability
7.1 "As-Is" Provision
The Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
7.2 Security Disclaimer
While CyberVault employs industry-leading AI and human-led SOC operations, no security solution can guarantee 100% threat prevention. CyberVault does not warrant that the Services will prevent all cyber incidents, data breaches, or system disruptions.
7.3 Liability Cap
To the maximum extent permitted by law, CyberVault's aggregate liability for any claim arising from these Terms shall not exceed the fees paid by you during the 12 months preceding the claim. In no event shall CyberVault be liable for indirect, incidental, consequential, punitive, or data loss damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless CyberVault, its affiliates, officers, directors, employees, and contractors from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
9. Term & Termination
These Terms remain in effect until terminated. Either party may terminate your access with immediate effect for material breach. Upon termination, your license to use the Services will cease, and any unused prepaid fees will be handled per your billing agreement. Sections regarding privacy, intellectual property, liability, indemnification, and governing law will survive termination.
10. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, DE, except where class actions are expressly prohibited.
11. Modifications to Terms
CyberVault reserves the right to update these Terms to reflect changes in technology, legal requirements, or service capabilities. We will notify users of material changes via email or platform notification at least 30 days prior to the effective date. Continued use of the Services following such changes constitutes acceptance of the revised Terms.
