1. Applicability

This Governing Law section forms an integral part of the DirConnect Directory Terms of Service and any supplementary agreements entered into between the user and DirConnect Directory ("Company," "we," "us," or "our"). By accessing, browsing, or using the DirConnect platform, including its directory listings, search functionality, and business tools, you acknowledge that your relationship with us is governed by the laws specified herein.

2. Governing Jurisdiction

The terms, conditions, and any agreements contained on this website are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to the use of this website or this agreement shall be instituted exclusively in the federal courts of the United States or the courts of the State of Delaware, in each case located in the county of New Castle. You hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BOTH YOU AND DIRCONNECT WAIVE ANY RIGHT TO A JURY TRIAL IN ANY ACTION, PROCEEDING, OR COUNTERCLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE DIRCONNECT PLATFORM. THIS WAIVER IS KNOWING AND VOLUNTARY.

4. Severability

If any provision of this Governing Law section or any portion thereof is held to be unenforceable or invalid, such provision shall be changed and interpreted so as to best accomplish the objectives of such provision within the law, and the remaining provisions shall continue in full force and effect.

5. No Waiver of Rights

Our failure to insist upon or enforce strict performance of any provision of this Governing Law or any right arising under this agreement shall not be a waiver of such provision or right. Any waiver of any breach of any provision shall not be a waiver of any other breach and shall not be a waiver of any subsequent breach of the same provision.

6. Changes to Governing Law

DirConnect reserves the right, at our sole discretion, to modify or replace this Governing Law policy at any time. We will provide notice of any material changes, typically by updating the "Last Updated" date on this page. Your continued use of the DirConnect Directory following the posting of any changes constitutes acceptance of those changes.
