1. Introduction & Acceptance
Welcome to DirConnect Directory ("DirConnect", "we", "us", or "our"). This User Agreement ("Agreement") governs your access to and use of our website, mobile applications, and related services (collectively, the "Platform"). DirConnect is an online business directory that enables users to search, browse, review, and connect with local businesses and service providers.
By accessing, browsing, creating an account, or using any feature of the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and our Privacy Policy. If you do not agree to these terms, you must discontinue use of the Platform immediately.
2. Eligibility & Account Registration
To create an account or submit business listings, you must be at least 18 years of age and possess the legal capacity to enter into binding agreements. By registering, you represent and warrant that:
- All information provided during registration is accurate, current, and complete.
- You are the authorized representative of the business you are listing, if applicable.
- You will maintain the security of your account credentials and notify us promptly of any unauthorized use.
We reserve the right to suspend or terminate accounts that violate this Agreement, provide false information, or engage in fraudulent activity, without prior notice.
3. Directory Listings & Content
DirConnect allows users and business owners to create, edit, and manage directory listings. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to display, distribute, and modify such content solely for the purpose of operating and improving the Platform.
3.1 Listing Accuracy & Verification
While we strive to maintain accurate directory information, DirConnect does not guarantee the completeness, reliability, or current status of any business listing. Business details, operating hours, contact information, and services offered are provided by third parties and may change without notice.
3.2 User-Generated Content
Reviews, ratings, photos, and comments are the sole responsibility of the submitting user. We employ automated and manual moderation processes but do not verify every piece of user-generated content. We reserve the right to remove or edit content that violates our Community Guidelines or applicable law.
4. User Conduct & Prohibited Activities
You agree to use the Platform lawfully and responsibly. Prohibited activities include, but are not limited to:
- Submitting false, misleading, or fraudulent business listings.
- Posting defamatory, hateful, obscene, or infringing content.
- Harvesting, scraping, or collecting user data or listing information without explicit written consent.
- Using automated tools, bots, or scripts to access the Platform except for publicly documented APIs.
- Attempting to interfere with the security, integrity, or performance of the Platform.
Violation of these terms may result in immediate account termination, removal of content, and reporting to appropriate authorities where applicable.
5. Intellectual Property Rights
All content, design, logos, trademarks, software, and materials provided on the Platform (excluding user-submitted content) are the exclusive property of DirConnect or its licensors and are protected by copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform materials without prior written authorization. Limited use is permitted solely for personal, non-commercial browsing and sharing via official sharing features.
6. Privacy & Data Protection
Your privacy is important to us. Our collection, use, storage, and sharing of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform, you consent to the practices described therein, including cross-border data transfers where necessary to provide directory and advertising services.
We do not sell personal information to third parties. Business contact information displayed in listings is subject to applicable consent and anti-spam regulations.
7. Disclaimer of Warranties
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by law, DirConnect disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted operation.
We do not warrant that listings will meet your requirements, that the Platform will be error-free or secure, or that user reviews accurately reflect business practices. Third-party links, advertisements, or integrated services are provided without endorsement or guarantee.
8. Limitation of Liability
In no event shall DirConnect, its directors, employees, affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, reputation, or business opportunities, arising from your use or inability to use the Platform.
Our total cumulative liability for any claim related to this Agreement shall not exceed the greater of $100.00 USD or the amount you have paid us in the preceding twelve (12) months, if applicable. This limitation applies regardless of the legal theory, including negligence, even if advised of the possibility of such damages.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which DirConnect Directory Ltd. is registered, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be subject to good-faith negotiation. If unresolved within sixty (60) days, disputes shall be finally settled by binding arbitration administered by an accredited arbitration body, with proceedings conducted in the designated jurisdiction. Class action waivers and jury trial waivers apply to the fullest extent permitted by law.
10. Modifications to This Agreement
DirConnect reserves the right to modify, update, or replace this Agreement at any time. Material changes will be communicated via email to registered users and/or by posting a notice on the Platform with an updated effective date. Continued use of the Platform following the posting of revised terms constitutes acceptance of those changes.
