Premium or sponsored listings are subject to separate commercial agreements, payment terms, and performance metrics.

5. Content & Intellectual Property

Platform Content: All website design, code, trademarks, logos, and proprietary directory data owned by DirConnect are protected by intellectual property laws. You may not copy, reproduce, or exploit our content without express written permission.

User-Generated Content: Reviews, comments, photos, and other submissions remain your property, but by posting them, you grant DirConnect a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content across our platforms and marketing materials.

You represent that you own or have proper authorization for all content you submit and that it does not infringe on third-party rights or contain harmful, illegal, or defamatory material.

6. Prohibited Conduct

You agree not to:

1. Submit fake, misleading, or fraudulent business listings
2. Post harmful, offensive, or spam content in reviews or forums
3. Attempt to scrape, crawl, or harvest directory data using automated tools
4. Impersonate other users or businesses
5. Use the Service for illegal activities, harassment, or unauthorized advertising
6. Circumvent payment systems or premium feature restrictions

Violations may result in immediate account termination, legal action, and reporting to relevant authorities.

7. Third-Party Links & Services

Our Service may contain links to external websites, maps, payment processors, or integration APIs. DirConnect is not responsible for the content, privacy practices, or terms of third-party sites. Accessing linked services is at your own risk, and we encourage you to review their respective policies.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. DirConnect makes no representations or warranties of any kind, express or implied, regarding the accuracy, completeness, reliability, or suitability of the Service, business listings, user reviews, or search results.

We do not guarantee uninterrupted, secure, or error-free operation, nor do we warrant that defects will be corrected or that the Service will meet your specific requirements.

9. Limitation of Liability

To the maximum extent permitted by law, DirConnect and its affiliates, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use or inability to use the Service.

Our total aggregate liability shall not exceed the amount paid by you, if any, for the specific Service giving rise to the claim during the twelve (12) months preceding the claim.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in San Francisco, CA, in accordance with its Commercial Arbitration Rules. Class action waivers and jury trials are waived to the extent permitted by law.
