Please read this End User License Agreement ("EULA" or "Agreement") carefully before downloading, installing, or using the GeoServer software and related services (collectively, the "Software"). This Agreement constitutes a legally binding contract between you ("Licensee", "You", or "Your") and GeoServer, Inc. ("Licensor", "We", "Us", or "Our").
By accessing, installing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.
1. Definitions
"Authorized User" means a single individual or named account permitted to use the Software under a valid license. "Subscription" refers to a time-bound license granted upon payment of applicable fees. "Perpetual License" refers to a non-renewing, indefinite license granted for a specific version or major release. "Derivative Work" means any work based upon the Software or upon the Software and other pre-existing works.
2. License Grant
Subject to your compliance with this Agreement, GeoServer grants you a non-exclusive, non-transferable, revocable license to:
- Install and use the Software for internal business purposes, up to the number of Authorized Users specified in your subscription or license key.
- Access and utilize GeoServer's cloud-hosted geospatial services, APIs, and associated documentation.
- Make one backup copy of the Software solely for archival purposes, provided all proprietary notices are preserved.
Unless expressly stated otherwise, all rights not expressly granted herein are reserved by GeoServer and its licensors.
3. Restrictions
You shall not, and shall not permit any third party to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law.
- Modify, adapt, translate, or create derivative works based on the Software.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Software.
- Use the Software to build a competing product or service, or to provide geospatial hosting/services to third parties on a commercial basis unless expressly authorized.
- Transfer, sublicense, rent, lease, loan, or distribute the Software to any third party.
- Use the Software in violation of any applicable local, state, national, or international laws or regulations.
4. Intellectual Property
The Software, including all modifications, updates, upgrades, and related documentation, is owned by GeoServer, Inc. and is protected by intellectual property laws, including copyright, trademark, and patent laws. All rights not expressly granted in this Agreement are reserved.
Use of the GeoServer name, logo, and related marks requires prior written approval. Feedback, suggestions, or enhancement ideas submitted by you shall become the sole property of GeoServer, and you hereby assign all rights, title, and interest therein to us.
5. Subscription & Billing
Fees for the Software shall be billed in advance on a monthly or annual basis, as selected at purchase. All payments are non-refundable except as required by law. GeoServer reserves the right to adjust pricing with 30 days' written notice, which will not affect existing active subscriptions. Failure to maintain valid payment methods may result in suspension of services or termination of license rights.
6. Termination
This Agreement shall continue until terminated. You may terminate this Agreement at any time by discontinuing use of the Software and destroying all copies. GeoServer may terminate or suspend your access immediately, without notice, upon your breach of this Agreement. Upon termination, all license rights granted herein shall automatically cease, and you must promptly destroy or return all copies of the Software.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. THIS INCLUDES, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF GEOSPATIAL DATA OR ANALYTICAL OUTPUTS.
GeoServer does not warrant that the Software will be uninterrupted, secure, error-free, or free from viruses or other harmful components. You assume all responsibility for selecting the Software to achieve your intended results and for the installation, use, and results obtained.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall GeoServer, its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to, use of, or inability to access or use the Software;
- Any conduct or content of any third party on the Software;
- Unauthorized access, use, or alteration of your transmissions or content; or
- Any other matter relating to the Software or geospatial services.
GeoServer's total aggregate liability for all claims arising out of or related to this Agreement shall not exceed the total amount paid by you to GeoServer in the twelve (12) months preceding the claim.
9. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Wilmington, Delaware.
If any provision of this Agreement is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
