Limitation of Liability

Welcome to MarketFlow. This Limitation of Liability clause forms an integral part of our Terms of Service and governs the scope of responsibility and risk allocation associated with the use of our platform. By accessing, browsing, or transacting through MarketFlow, you acknowledge and agree to the limitations set forth herein.

1. Disclaimer of Warranties

MarketFlow and its affiliates, officers, directors, employees, agents, and partners provide the platform, services, and content on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, title, non-infringement, and uninterrupted or error-free operation.

2. Limitation of Direct and Consequential Damages

In no event shall MarketFlow, its licensors, or any third parties providing content or products on the platform be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, data, or business opportunities;
Business interruption or loss of goodwill;
Personal injury or property damage;
Cost of procurement of substitute goods or services;
Any other damages arising from your use of or inability to use the platform, or from unauthorized access to or alteration of your transmissions or data.

This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, even if MarketFlow has been advised of the possibility of such damages.

                MarketFlow acts as a digital intermediary and marketplace facilitator. We do not control, endorse, or guarantee the quality, safety, legality, or availability of products, services, or content listed by third-party sellers. All transactions are conducted directly between buyers and sellers.
            

3. User Transactions & Dispute Resolution

MarketFlow provides the infrastructure for buyers and sellers to connect. We are not a party to any purchase agreements, contracts, or transactions formed between users. You agree to resolve any disputes, claims, or disagreements arising from marketplace transactions directly with the other user(s) involved, in accordance with applicable consumer protection laws and platform dispute resolution mechanisms.

4. Third-Party Sellers, Content & Links

The platform may feature links to external websites, third-party payment processors, shipping carriers, and seller storefronts. MarketFlow assumes no responsibility for the content, privacy practices, terms of service, or availability of third-party sites. Access to such links is at your own risk, and we encourage you to review their respective policies before engaging.

5. Technical Disruptions & Force Majeure

We strive to maintain continuous platform availability, but we do not guarantee uninterrupted, secure, or error-free service. MarketFlow shall not be liable for any delays, failures, or inaccuracies caused by events beyond our reasonable control, including but not limited to internet connectivity issues, power outages, hardware or software failures, cyberattacks, natural disasters, government actions, or labor disputes.

6. Indemnification

You agree to indemnify, defend, and hold harmless MarketFlow, its parent companies, subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the platform, your listings or transactions, or your infringement of any third-party right.

7. Governing Law & Severability

This limitation shall be interpreted in accordance with the laws of the jurisdiction specified in our main Terms of Service, without regard to conflict of law principles. If any provision of this clause is found invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. Where applicable law prohibits the exclusion or limitation of certain liabilities, the limitation shall apply to the maximum extent permitted by law.

We reserve the right to modify this Limitation of Liability at any time. Changes will be effective immediately upon posting to the platform.
