01 Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "You," or "your") and NexusAI, Inc. ("NexusAI," "we," "us," or "our"). These Terms apply to your access and use of the NexusAI platform, including all software, APIs, AI models, documentation, and related services (collectively, the "Services").

By creating an account, making API calls, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

02 Definitions

• "AI Models" refers to machine learning models, neural networks, and algorithms developed or hosted by NexusAI.
• "User Input" means any data, text, images, code, or other content submitted by You to the Services.
• "Output" means the results, predictions, generations, or responses produced by the AI Models based on User Input.
• "API" refers to the NexusAI Application Programming Interface allowing integration with third-party systems.

03 AI Services & Limitations

3.1 Nature of AI

The Services utilize artificial intelligence and machine learning technologies that are probabilistic in nature. NexusAI does not guarantee that Outputs will be accurate, complete, unbiased, or appropriate for your specific use case.

3.2 Model Updates

NexusAI may periodically update, modify, or replace AI Models to improve performance, safety, or efficiency. Such changes may affect the nature or quality of Outputs without prior notice.

3.3 Prohibited Reliance

You may not use the Services for high-stakes decisions in critical domains—including but not limited to healthcare diagnoses, legal advice, financial trading, or autonomous vehicle control—without implementing additional human oversight and validation layers.

04 Account & Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your API keys and credentials.
• Notify NexusAI immediately of any unauthorized use.
• Accept responsibility for all activities under your account.

NexusAI reserves the right to suspend or terminate accounts that violate these Terms or exhibit suspicious activity.

05 Acceptable Use

You agree not to use the Services to:

1. Violate applicable laws, regulations, or third-party rights.
2. Generate hate speech, harassment, adult content, or malicious code.
3. Engage in reverse engineering, decompilation, or disassembly of AI Models.
4. Resell, redistribute, or provide access to Outputs as a competing AI service.
5. Attempt to train third-party models using NexusAI Outputs without explicit permission.
6. Exceed rate limits or impose unreasonable load on the infrastructure.

06 Intellectual Property

6.1 NexusAI Ownership

All intellectual property rights in the Services, AI Models, algorithms, code, and documentation are owned by NexusAI and its licensors. These Terms grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.

6.2 User Input Ownership

You retain all rights, title, and interest in and to your User Input. By submitting User Input, you grant NexusAI a limited license to process such input solely to provide the Services.

6.3 Output Rights

Subject to applicable law, you own the Outputs generated via the Services. However, NexusAI retains a non-exclusive license to use and analyze Outputs for model improvement, safety research, and service optimization, subject to our Privacy Policy.

07 Data Privacy & Security

Your privacy is important to us. Our collection, use, and processing of personal data are governed by our Privacy Policy. By using the Services, you consent to such practices.

NexusAI implements industry-standard security measures, including encryption in transit and at rest, access controls, and regular audits. However, no system is impenetrable, and we cannot guarantee absolute security against all threats.

08 Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

NEXUSAI DISCLAIMS ANY LIABILITY FOR ERRORS, OMISSIONS, OR INTERRUPTIONS IN THE SERVICES, INCLUDING THOSE ARISING FROM MODEL HALLUCINATIONS OR SYSTEM OUTAGES.

09 Limitation of Liability

To the maximum extent permitted by law, NexusAI and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services.

NexusAI's total aggregate liability for any claims related to the Services shall not exceed the amount paid by you to NexusAI during the twelve (12) months preceding the claim, or $500 USD, whichever is greater.

10 Termination

NexusAI may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your license to use the Services will immediately cease, and you must stop all API calls and delete any cached Outputs.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Wilmington, Delaware.

12 Changes to Terms

NexusAI reserves the right to modify these Terms at any time. We will notify users of material changes via email or prominent notice on the platform. Your continued use of the Services after such changes constitutes acceptance of the revised Terms.
