Governing Law

1. Applicable Jurisdiction

This Agreement, your use of the Paws Source platform, and any disputes arising out of or related thereto shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles that would result in the application of laws of any other jurisdiction.

2. Exclusive Venue

Any legal suit, action, or proceeding arising out of or related to this Agreement or your use of Paws Source services must be instituted exclusively in the federal courts of the United States or the courts of the State of California, located in San Francisco County. You and Paws Source hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, the jurisdiction and venue of such courts.

3. Dispute Resolution Process

Before initiating any formal legal proceeding, both parties agree to attempt to resolve disputes through informal negotiation. You may submit a written notice of dispute to Paws Source at legal@pawssource.com. Both parties will engage in good-faith negotiations for at least thirty (30) days. If the dispute remains unresolved, either party may proceed to binding arbitration or file in the courts specified above.

4. Arbitration & Class Action Waiver

To the extent permitted by applicable law, any dispute not resolved through negotiation shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Francisco, California. You acknowledge that you are waiving your right to a trial by jury and your right to participate in a class-action lawsuit or consolidated proceeding. Claims may be resolved only on an individual basis and not on a class or representative basis.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAWS SOURCE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.

6. Severability

If any provision of this Governing Law notice or any portion thereof is held to be unenforceable or invalid under applicable law, such invalidity or unenforceability shall not affect or invalidate any other provision of this notice, and such provision shall be modified to the minimum extent necessary to render it enforceable and valid while preserving the original intent of the parties.

7. Entire Agreement & Amendments

This Governing Law notice, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Paws Source regarding the legal framework of our services. Paws Source reserves the right to modify this notice at any time. Changes will be effective immediately upon posting to this page. Your continued use of Paws Source following any modifications constitutes your acceptance of the updated terms.
