All relationships, agreements, and disputes arising from or related to PixelCraft Studio's services, website, or communications shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.
This choice of law applies to both substantive and procedural matters, including contract interpretation, liability limitations, intellectual property rights, and data processing obligations.
2. Dispute Resolution Process
PixelCraft Studio is committed to resolving disputes efficiently, fairly, and with minimal disruption to both parties. We prefer collaborative resolution over litigation and have established a structured approach to handling disagreements.
- Direct Negotiation: Parties must first attempt to resolve the dispute through good-faith negotiations between designated representatives.
- Mediation: If negotiations fail after 30 days, either party may request mediation administered by a mutually agreed-upon neutral third party or the American Arbitration Association (AAA).
- Binding Arbitration: Should mediation prove unsuccessful, any remaining dispute shall be resolved through binding arbitration under the rules of the AAA, conducted in San Francisco, California.
3. Venue & Jurisdiction
Except as expressly provided for in the arbitration clause, any legal action or proceeding permitted under this agreement shall be brought exclusively in the federal or state courts located in San Francisco, California. Both parties hereby consent to the personal jurisdiction and venue in such courts and waive any objections regarding inconvenient forum.
4. Modifications & Severability
PixelCraft Studio reserves the right to modify, amend, or update this Governing Law & Disputes policy at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services following such changes constitutes acceptance of the updated terms.
If any provision of this section is found to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
5. Waiver & Successors
Failure by PixelCraft Studio to enforce any provision of this policy shall not constitute a waiver of future enforcement of that or any other provision. All rights and obligations under this section shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, and permitted legal representatives.
