1. Acceptance of Terms

If you are purchasing on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

These terms govern all transactions, communications, and relationships between you and StapleCraft Pro ("we," "us," or "our"). If you do not agree to any part of these terms, please discontinue use of our services immediately.

2. Products & Specifications

StapleCraft Pro specializes in the manufacturing and wholesale distribution of premium paper staples, binding fasteners, and custom stapling solutions. All product descriptions, specifications, weights, gauge measurements, and coating details provided on our website or catalogs are accurate to the best of our knowledge at the time of publication.

2.1 Manufacturing Tolerances

Due to the nature of precision metalworking, minor dimensional variations may occur within industry-standard tolerances (±0.02mm for wire diameter and leg length). These variations do not constitute a defect and will not affect product performance.

2.2 Custom Orders

Custom-engineered staples require written specification approval. Once a custom order is confirmed and production begins, cancellations or modifications are subject to our production schedule and may incur additional fees.

3. Ordering & Purchasing

All orders placed through our website, authorized distributors, or direct sales representatives are subject to product availability and final acceptance by StapleCraft Pro. We reserve the right to reject or cancel any order at our sole discretion, particularly in cases of suspected fraud, pricing errors, or supply constraints.

4. Pricing & Payment

Prices are quoted in United States Dollars (USD) unless otherwise specified. All pricing is subject to change without prior notice based on raw material costs, shipping rates, and market conditions. Quotes are valid for 30 days from the date of issuance.

4.1 Payment Terms

• Retail Orders: Full payment required prior to shipping.
• Wholesale Accounts: Standard Net 30 payment terms from invoice date, subject to credit approval.
• Late Payments: Overdue balances accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Shipping & Delivery

All shipments are made FOB Origin. Risk of loss and title pass to the buyer upon delivery to the carrier. We strive to meet all requested delivery windows, but they are estimates and not guaranteed unless explicitly stated in a signed logistics agreement.

5.1 Damages & Shortages

Inspect all deliveries immediately upon receipt. Any visible damage or package shortages must be noted on the carrier's delivery receipt and reported to our logistics team within 48 hours. StapleCraft Pro will assist in filing claims with the shipping carrier but is not liable for carrier-related damage.

6. Quality & Warranty

StapleCraft Pro warrants that all products will be free from defects in materials and workmanship under normal use and storage conditions. Our staples are manufactured using certified steel wire and precision tooling to meet or exceed industry standards.

6.1 Warranty Claims

To file a warranty claim, contact our quality assurance department with your order number, product batch code, and photographs or samples of the defective items. Claims must be submitted within 90 days of delivery. Our sole obligation under this warranty is to repair, replace, or refund the purchase price of the defective product.

7. Limitation of Liability

To the maximum extent permitted by applicable law, StapleCraft Pro and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business interruption, or equipment damage resulting from the use or inability to use our products.

Our total aggregate liability for any claim arising from or related to these terms or our products shall not exceed the total amount paid by you for the specific product giving rise to the claim.

8. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, product designs, software, and trade names, is the exclusive property of StapleCraft Pro or its licensors and is protected by international copyright, trademark, and trade secret laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website and product documentation for personal or internal business purposes only. Unauthorized reproduction, distribution, or reverse engineering of our products or content is strictly prohibited.

9. Privacy & Data Protection

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law principles. Any disputes arising under these terms shall first be subject to good-faith negotiation, followed by mediation in Charlotte, NC. If mediation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

StapleCraft Pro reserves the right to modify, update, or replace these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or acceptance of orders following the posting of revised terms constitutes your acceptance of those changes. We encourage you to review this page periodically.
