1. Acceptance of Terms

Welcome to StapleCraft Pro. These Terms of Service ("Terms") govern your access to and use of our website, product catalog, and all wholesale purchasing agreements. By placing an order, requesting a quote, or otherwise engaging in commercial transactions with StapleCraft Pro, you agree to be bound by these Terms. If you do not agree, please do not use our services or purchase our products.

2. Products & Specifications

StapleCraft Pro manufactures and supplies premium paper staples, including standard, heavy-duty, custom-engineered, and eco-friendly variants. All product specifications, including wire gauge, crown width, leg length, and coating type, are provided in good faith based on industry standards and internal quality controls.

Due to the nature of precision metal forming, minor dimensional tolerances of ±0.02mm may apply. Custom orders are subject to engineering review, sampling approval, and written confirmation prior to production.

3. Ordering, Pricing & Payment

All product listings and quotations are subject to availability and prior sale. StapleCraft Pro reserves the right to modify pricing, discontinue products, or adjust order minimums without prior notice. Wholesale pricing tiers apply based on volume commitments and contract terms.

Payment Terms: Standard terms are Net 30 for approved corporate accounts. Prepaid wire transfer, ACH, or major credit card accepted for first-time or spot orders.
Order Acceptance: An order is not binding until confirmed in writing by StapleCraft Pro via purchase order acknowledgment or shipping notification.
Currency: All prices are quoted in USD unless otherwise specified.

4. Shipping, Delivery & Risk of Loss

Unless otherwise agreed in writing, all shipments are FOB Shipping Point from our manufacturing or distribution facilities. Title and risk of loss pass to the buyer upon delivery to the carrier. StapleCraft Pro will use commercially reasonable efforts to meet estimated delivery windows, but no delivery date is guaranteed. Delays caused by force majeure, carrier disruptions, or customs holdups do not constitute breach of contract.

5. Returns, Refunds & Defects

We stand behind the quality of every staple we ship. If products arrive damaged or fail to meet agreed-upon specifications, you must notify our logistics department within 14 days of receipt with photographic evidence and lot/batch numbers.

Defective Items: Full replacement or refund at our discretion, no restocking fee.
Non-Defective Returns: Subject to prior authorization. A 15% restocking fee applies unless the return is due to our error.
Custom Orders: Non-refundable and non-returnable unless manufacturing defects are proven.

Note: Staples stored improperly (high humidity, corrosive environments, or extreme temperatures) may experience premature oxidation or coating degradation. Proper storage is the responsibility of the end buyer.

6. Warranties & Limitations of Liability

StapleCraft Pro warrants that all products will conform to their specified descriptions and be free from material defects in workmanship. EXCEPT AS EXPRESSLY STATED HEREIN, ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

In no event shall StapleCraft Pro's aggregate liability for any claim exceed the total purchase price of the specific order giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or production downtime.

7. Intellectual Property

All trademarks, trade names, logos, product designs, and proprietary manufacturing processes displayed on our website or in documentation are the exclusive property of StapleCraft Pro or its licensors. Unauthorized reproduction, reverse engineering, or use of our branding for resale purposes is strictly prohibited.

8. Compliance & Regulatory

Buyers acknowledge that international shipments of steel wire products may be subject to import duties, tariffs, and customs clearance requirements. StapleCraft Pro will provide standard commercial invoices and certificates of origin upon request. Compliance with all applicable environmental, safety, and export control regulations remains the shared responsibility of both parties.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles. Any disputes arising from these Terms or commercial transactions shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration in Mecklenburg County, NC, under AAA Commercial Rules.

10. Modifications & Severability

StapleCraft Pro reserves the right to modify these Terms at any time. Continued use of our services or placement of orders after updates constitutes acceptance. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
