1. Introduction

Welcome to StapleCraft Pro. These Terms of Service ("Terms") govern your access to and use of our website, products, and services. By purchasing, reselling, or utilizing any StapleCraft Pro product or service, you agree to be bound by these Terms.

2. Acceptance of Terms

By placing an order, accessing our wholesale portal, or otherwise engaging with StapleCraft Pro, you acknowledge that you have read, understood, and agree to comply with these Terms. We reserve the right to update these Terms at any time. Continued use following changes constitutes acceptance of the revised Terms.

3. Products & Specifications

All product specifications, dimensions, material compositions, and pricing displayed on our website or provided in quotes are provided in good faith but are subject to minor manufacturing tolerances (±0.02mm unless otherwise specified). StapleCraft Pro reserves the right to modify product specifications or discontinue products with reasonable notice.

• Custom staple orders require written approval of specifications prior to production.
• Color, coating, and finish variations may occur between production batches.
• Technical datasheets and compliance certificates are available upon request.

4. Ordering, Pricing & Payment

All orders are subject to availability and acceptance. Prices are quoted in USD unless otherwise stated and are exclusive of applicable taxes, duties, or shipping fees. Payment terms for B2B clients are determined upon account approval (Net 15, Net 30, or advance payment as agreed). Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

5. Shipping, Delivery & Title Transfer

Delivery timelines are estimates and not guaranteed unless explicitly stated in a written agreement. Title and risk of loss transfer to the buyer upon delivery to the carrier (FOB Origin) or upon receipt (FOB Destination), as specified in the purchase order. StapleCraft Pro is not liable for delays caused by customs, carriers, force majeure, or buyer-provided incorrect shipping information.

6. Returns, Defects & Warranty

StapleCraft Pro warrants that all products shall be free from material defects in workmanship and manufacturing under normal use. Claims for defective goods must be reported within 14 days of delivery, accompanied by photographic evidence and original packaging. We will, at our discretion, repair, replace, or refund the defective portion of the order. This warranty does not cover damage resulting from improper storage, modification, or use outside specified operating parameters.

7. Intellectual Property

All branding, logos, product designs, technical documentation, and website content are the exclusive property of StapleCraft Pro and its licensors. Unauthorized reproduction, reverse engineering, or use of proprietary specifications without written consent is strictly prohibited. Licensed customers may use product images and specifications solely for resale or internal procurement purposes.

8. Limitation of Liability

To the fullest extent permitted by applicable law, StapleCraft Pro shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use or inability to use our products, including but not limited to lost profits, production downtime, or third-party claims. Our total liability shall not exceed the purchase price of the specific product giving rise to the claim.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Charlotte, NC, in accordance with the rules of the American Arbitration Association, unless otherwise required by mandatory law.

10. Modifications to Terms

StapleCraft Pro reserves the right to modify, amend, or replace these Terms at any time. Material changes will be communicated via email or posted on our website with an updated revision date. Your continued use of our products or services after such changes constitutes acceptance of the revised Terms.
