3.1 What We Provide

That Is A Q provides digital services including but not limited to product design, web development, mobile applications, AI integration, digital strategy, and cloud infrastructure solutions. All services are delivered subject to a separate service agreement or statement of work.

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of material changes where feasible, but some modifications may occur without prior notice.

3.3 Access & Availability

Our services are provided "as available" and are not guaranteed to be uninterrupted, error-free, or secure. We do not guarantee specific performance levels or uptime, except as explicitly stated in a separate service-level agreement.

4. User Responsibilities

As a user of our services, you agree to:

• Provide accurate, current, and complete information during registration or engagement;
• Maintain the security of your account credentials and accept responsibility for all activities under your account;
• Not use our services for any unlawful, fraudulent, or harmful purpose;
• Not attempt to gain unauthorized access to any portion of our services or systems;
• Comply with all applicable local, state, national, and international laws and regulations;
• Not reverse-engineer, decompile, or disassemble any of our software or services.

5. Intellectual Property

All content, designs, code, documentation, trademarks, and materials provided through our services are owned by That Is A Q or its licensors and are protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you except as explicitly granted in a separate agreement.

You grant us a limited, non-exclusive license to use your name, logo, and project details (where applicable) for portfolio, marketing, and promotional purposes, unless you explicitly request otherwise in writing.

6. Payment Terms

Unless otherwise agreed in a separate contract:

• Fees are payable as specified in our pricing page or quoted agreement;
• Payment is due within 30 days of invoice date unless otherwise stated;
• Late payments may incur a monthly interest charge of 1.5% on the outstanding balance;
• All fees are non-refundable except as required by applicable law or as stated in a refund policy.

7. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and sharing of personal information is governed by our Privacy Policy. By accepting these Terms, you also consent to the practices described in our Privacy Policy.

We implement commercially reasonable security measures to protect your data, but no method of transmission over the Internet or electronic storage is 100% secure.

8. Limitation of Liability

To the maximum extent permitted by law, That Is A Q and its directors, officers, employees, agents, and partners shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, data, use, goodwill, or other intangible losses;
• Any damages resulting from unauthorized access to or alteration of your data;
• Any errors, omissions, or delays in our services.

Our total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

9. Termination

Either party may terminate these Terms:

• For cause: Immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 14 days;
• For convenience: Upon 30 days' written notice.

Upon termination, your right to access our services will cease immediately. Sections relating to intellectual property, limitation of liability, dispute resolution, and general provisions shall survive termination.

10. Dispute Resolution

Any disputes arising from these Terms or our services shall first be subject to good-faith negotiations for a period of at least 30 days. If unresolved, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in California, USA, and judgment on the award may be entered in any court of competent jurisdiction.

You agree not to initiate or participate in any class-action lawsuit or proceeding against us.

11. General Provisions

• Governing Law: These Terms are governed by the laws of the State of California, without regard to its conflict of law principles.
• Amendments: We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website. Continued use after changes constitutes acceptance.
• Severability: If any provision is found invalid or unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any right does not constitute a waiver of that right.
• Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and That Is A Q.
